Role Objective:
The primary objective of this role is to manage the end-to-end legal framework for international business operations. You will act as a strategic partner to the business, ensuring that all global agreements, mergers, and corporate actions are legally sound, commercially viable, and aligned with the company's long-term growth strategy.
KEY RESPONSIBILITIES
1. Review & Drafting of International Agreements
- Draft, vet, and negotiate a diverse portfolio of international contracts, including:
- In/Out Licensing and Product Development Agreements.
- Master Service Agreements (Clinical and Non-Clinical Trials).
- Manufacturing, Supply, Agency, and Distribution Agreements.
- Consultancy, Retainer, and Confidential Disclosure Agreements (CDAs).
- Strategic Advisory: Collaborate with Business Development, Project Finance, Sales, HR, and Accounting to advise on legal risks and business strategies.
- Template Governance: Periodically review and update standard templates to reflect current legal standards and risk mitigation measures.
2. M&A and Corporate Advisory
- Due Diligence: Assist the Sr. General Manager and General Counsel in reviewing data and agreements for M&A deals.
- Reporting: Prepare comprehensive management reports on potential acquisitions or divestitures.
- General Counsel: Advise on corporate matters, procurement, safety, sustainability, insurance, and general business law issues.
3. Compliance & Operational Excellence
- Audits: Periodically conduct legal compliance audits of Manufacturing Plants, CnF Agents, and Marketing Agents.
- Process Management: Maintain the Contract Management Tool and ensure the internal process for tracking and completion of tasks is followed.
- Training: Impart SOP training to other departments regarding contract protocols.

JOB REQUIREMENTS
Professional Experience and Relevant Skills
- Required 8 - 10 years of experience in international legal business operations
- Independent & Collaborative: Proven ability to work independently while effectively contributing to a team in a high-pressure environment.
- Negotiation Excellence: Strong track record of negotiating complex agreements with global entities.
- Deadline Driven: Ability to deliver high-quality, precise legal work under tight timelines.
- Proactive Mindset: Ability to identify red flag clauses in existing LSAs (Long-term Service Agreements) and suggest proactive amendments.
- Technical Proficiency: Experience with Contract Management Software and legal research tools.
Academic Qualifications & Certifications
- Educational Qualification: LL.B. or LL.M. from a recognized university.
- Certifications: Membership in a relevant Bar Council is required; specialized certifications in International Business Law or IPR are a plus.
