1.Key Duties and Responsibilities
The Employee's duties shall include, but not be limited to, the following:
(a) Legal Advisory and Strategy
Provide expert legal advice to management and business units on international and
cross-border legal issues.
Support the development and implementation of the Employer's global legal and
compliance strategy.
Ensure consistent governance and legal standards are maintained across all
regions of operation.
(b) Contracting and Transactions
Draft, review, and negotiate a wide range of legal documents, including
international commercial contracts, joint venture agreements, mergers and
acquisitions, partnership agreements, employment contracts with individual
contractors, and other required documentation.
Provide legal oversight on cross-border transactions to mitigate legal, financial, and
reputational risks.
(c) Compliance and Risk Management
Monitor compliance with international laws and regulations, including anti-bribery,
anti-corruption, competition, trade sanctions, and data privacy laws.
Assist in the design and implementation of global compliance frameworks and
internal controls.
Identify, assess, and report on emerging legal and regulatory risks affecting the
Employer's global operations.
(d) Dispute Resolution and Litigation Management
Manage international disputes, litigation, and arbitration of matters, liaising with
external counsel as necessary.
Provide strategic advice on dispute prevention and resolution in multiple
jurisdictions.
(e) Corporate Governance and Entity Management
Support corporate governance, including the establishment and maintenance of
subsidiaries and representative offices worldwide.
Ensure corporate records and statutory filings comply with local and international
regulatory requirements.
(f) Policy, Training, and Leadership
Develop and maintain global legal and compliance policies, templates, and
procedures.
Provide legal training and awareness sessions to internal stakeholders across
regions.
Support and mentor regional legal teams as required.
2. Qualifications and Competencies
The Employee is expected to possess the following qualifications and professional
attributes:
Bachelor's Degree in Law (LL.B.) and valid admission to practice law in at least one
recognized jurisdiction.
Master's Degree in International or Comparative Law (LL.M.) or equivalent
specialization preferred.
Minimum of ten (10) years post-qualification experience in an international
corporate or law firm environment.
Demonstrated expertise in international business law, cross-border transactions,
and global compliance.
Strong analytical, drafting, and negotiation skills, with the ability to advise on
complex international matters.
Excellent communication, cultural awareness, and leadership abilities.
Fluency in English; proficiency in additional languages is an advantage.
3. Reporting and Collaboration
The Employee shall work collaboratively with senior management, regional legal teams,
and other corporate functions to ensure consistent global legal standards and the effective
mitigation of legal and compliance risks across all business areas
