Job Description

Qualification: A Company Secretary with 2-4 years of experience to join our team.

Roles and Responsibilities

1. Corporate Governance: ensuring the company complies with legal and regulatory requirements and follows best practice, by advising the management on their responsibilities, and helping to develop corporate governance policies and procedures.

2. Handling of Annual filing Compliances for the Company and other group Companies, Change in Director/KMPs, and other applicable compliances under Companies Act 2013.

3. Restructuring of Capital, Drafting of Minutes and other legal documents, Drafting of Agenda and resolution, Maintain statutory books, including registers of members, directors, and secretaries.

4. Take an active role and provide valuable input to management decisions related to issue of shares, transfer of shares and other Capital Restructuring activities of the Company.

5. Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.

6. Check guidelines / notifications issued by regulatory / statutory bodies

7. Prepare gist of the amendment for issued notification

8. Study and interpret regulatory / statutory guidelines for Reviews

9. To be able to take ownership and handle compliance tasks without supervision.
