Key Responsibilities:
- Secretarial Compliance & Governance: Ensure adherence to all statutory and regulatory requirements under the Companies Act, 2013, FEMA, and other applicable Corporate laws.
- Board & Committee Meetings: Organize, conduct, and document Board, Committee, and General Meetings, including drafting agendas, minutes, and resolutions.
- Filing & Reporting: Prepare, review and monitor the filing of various statutory returns, forms, and reports with regulatory authorities such as MCA, RBI, ROC.
- Compliance Review & Monitoring: Act as a Reviewer for various secretarial compliances, ensuring accuracy, timeliness, and adherence to legal requirements.
- Regulatory & Corporate Filings: Oversee and review filings related to annual returns, director disclosures, and other company law requirements.
- Corporate Governance: Assist in implementing best practices in corporate governance and ensure compliance with internal policies.
- Liaison & Coordination: Communicate with regulatory bodies, stakeholders, and external consultants, Auditors, for compliance-related matters.
- Contract & Legal Documentation: Assist in drafting and reviewing agreements, MOUs, policies, and other corporate legal documents.
- Training & Awareness: Guide and support junior team members and relevant departments on secretarial and regulatory requirements.
Key Skills & Competencies:
- Strong knowledge of Companies Act, 2013, SEBI regulations, FEMA, and other applicable corporate laws.
- Excellent drafting, documentation, and analytical skills.
- Ability to manage multiple compliance requirements and deadlines.
- Strong communication and stakeholder management skills.
- Detail-oriented with high accuracy in compliance review and documentation.
- Proficiency in MCA and other regulatory e-filing platforms.
Qualifications:
- Qualified Company Secretary (CS) with at least 5 years of post-qualification experience.
- Additional qualifications such as LLB will be an added advantage.
