  1. Job Context & Major Challenges

JOB CONTEXT

  1. Scope of work extends to following businesses/brands:
    • ABDFVL and its subsidiaries - Bewakoof Brands, Wrogn, Styleverse, Urbano, Veirdo, Nobero,
    • ABFRL corporate function
    • Pantaloons
    • House of Masaba
    • Shantanu & Nikhil
    • Jaypore
    • Goodview Fashion Private Limited
    • TCNS
    • Indivinity
      1. Head of Legal for ABDFVL (and its subsidiaries) and International Business of ABFRL PAN India
        • Being a point of contact for senior leaders to discuss any legal issue being faced in the business and then directing them/their legal to correct legal function to address the issue
        • Periodically connecting with senior leaders / founders of the business to understand any legal challenges being faced and if the same are getting addressed timely
        • Ensuring senior leaders / founders are informed about legal work undertaken on monthly basis and any legal red flags which require attention
        • Bridging any gap between different legal function teams (like leasing, compliance, contracts, litigation) and the business team
        • Accountable to senior management for all legal matters and also signing the legal board reporting highlighting legal issues / gaps to the board of ABFRL on quarterly basis.
          1. Head of Contract function of ABDFVL and ABFRL International Business
            • Overseeing end-to end contract cycle of 850 contracts in a year
            • Ensuring that contract support (i.e. drafting, reviewing & execution) is provided to the business by the team in timely manner and TATs are met.
            • First point of escalation in case of any issue being faced by business team in closing contracts.
            • Identifying areas where contracts need to be standardised as per business needs and reviewing the standard drafts prepared by the team for implementation.
            • Negotiating and reviewing the drafting done by team members for all high value contracts.
            • Resolve/ take calls on all contracts which are escalated by junior team members.
            • Setting parameters within which team members can take calls / decisions on contracts and matters which need to escalated to myself/ General Counsel / Business head for approvals.
            • Ensuring the team is maintaining contract depository as per the agreed processes
            • Ensuring dashboards for reporting executed contracts is sent to senior leaders on monthly basis.
            • Identifying contracts for which external lawyers need to be onboarded and then briefing them on the requirement and reviewing their work.
            • Identifying gaps in contract processes (e.g. business onboarding vendors on basis of PO rather than long term contracts), discussing with senior leaders on changes required and ensuring implementation of the same.
              1. Head of Compliance function of ABDFVL, ABFRL International Business, Pantaloons, Ethnic business PAN India
                • Overseeing / leading compliance for a total of 20 Factories, Offices & Warehouse and 1100 retail stores across 30 states / UT
                • Daily review of non-compliances in these businesses with the team members and actions taken to mitigate non-compliances
                • Ensuring team send monthly dashboards to management highlighting compliance status of each business
                • Discussion with senior management on issues which are not getting addressed by business teams and need immediate actions and plan an action chart with team
                • Identifying consultants and taking approvals from senior management for onboarding consultants for managing compliances
                • Resolving and taking calls on matters escalated by the junior team members
                • Periodic factory / retail store visits to understand on-ground implementation and identifying any gaps.
                  1. Leading M&A Activities
                    • Leading the legal activities of all M&A activities for ABDFVL which includes (i) reviewing the legal drafts, (ii) advising on structures for acquisition (iii) ensuring legal due diligence are complete in time, (iv) negotiations with opposite side lawyers / business teams, (v) ensuring completion of CPs, CS (vi) appointment of external lawyers and discussions with them on diligence, documents (vii) taking calls on legal points (viii) briefing senior management on issues and implementing their suggestion.
                    • Advising on legal structure for internal restructuring for ABDFVL and identifying external counsels to give opinion, reviewing the opinion.
                    • Supporting the strategy team of ABFRL and ABLBL in all M&A activity and funding exercising - reviewing of legal drafts, bridging gap between advisors and business teams, developing confidence in senior management on in-house legal M&A function by doing FGDs & sending knowledge updates etc
                      1. Training & Knowledge Sharing
                        • Identifying legal topics for which trainings needs to be imparted to various business functions
                        • Ensuring the team sends knowledge emails to business teams on various legal issues
                        • Making training videos on identified legal issues & ensuring the team makes training videos for their identified topics
                        • Identifying external counsels who are experts in field who can deliver training / knowledge sessions with the ABFRL lawyers and business teams.
                          1. Mentoring team
                            • Mentoring a team of 7 reportee
                            • Identifying gaps, trainings required by team members for better performance
                            • Guiding team members on how to interact with business teams
                            • Ensuring timely delivery of deliverables
                            • Having daily meetings to discuss matters being handled and prioritising tasks for the them.
                      2. Since the role cuts horizontally across multiple companies and brands under ABFRL umbrella each on different growth trajectory, the role involves balancing varied priorities and TATs to deliver relevant outcomes in timely manner.
                      3. Change management - sometimes inertia is faced from business teams while to introducing new/procedural changes.
                      4. Ensuring tight coordination on work streams, deliveries and timelines within legal function such that the role can deliver as single window to business teams on any legal requirements.
                      5. Role requires to work with external parties such as counsels, consultants, counter parties who may not appreciate internal complexities, expectations etc and challenge is to effectively manage this.
                      6. To keep abreast with rapidly changing external environment in terms of laws, regulations, technology on real time basis.
                      7. Pre-set budget to meet deliverables.
