Job Purpose: Associate - Commercial M&A and Structuring is responsible for supporting the company's M&A activities, including due diligence, valuation, negotiation of transaction documents, and post-closure integration. The role will focus on commercial analysis and evaluating new business opportunities, optimizing commercial and M&A structures, and supporting strategic initiatives to ensure sustainable business growth. This position requires strong analytical skills, deep knowledge of M&A processes, and the ability to collaborate with cross-functional teams to align deals with the company's long-term objectives.
Responsibilities
Key activities:
- Applying Capital Budgeting principals (IRR, DCF, payback) to assist management for Go/No-Go decision making for all projects.
Finalisation of estimated project cost, operating expense, interest rates, capital structure to analyse the financial feasibility of the proposed bid.
- Conducting sensitivity analysis and building scenarios for management decision making.
- Identifying potential issues /problem areas and initiating pro-active action for resolution have been done.
- Building presentation to present the business case for every bid to the Management.
- Work with Resource teams to understand the various Generation parameters and evaluate the commercial impact of the same.
- Provide business inputs (Project cost, financial assumptions,etc.) for preparation of 5 year Strategic Plans and Annual Budget & Planning exercise
- To provide commercials (Project cost, generation, expected tariff, salient features of the bid, etc) for anticipated bid pipeline and workout the anticipated returns from each project
Strategy & Execution
- Assist in the identification, evaluation, and execution of new business opportunities, including mergers, acquisitions, and joint ventures.
- Conduct thorough due diligence to assess the financial, operational, and strategic fit of potential targets.
- Collaborate with senior leadership to develop commercial strategies for new business segments and markets, ensuring alignment with organizational growth goals.
- Ensure smooth structuring of transactions.
Due Diligence & Valuation
- Conduct comprehensive financial modeling and valuation analysis to assess the potential value of M&A targets.
- Perform Commercial Analysis and support in commercial structuring process.
- Review and analyze financial statements, market conditions, and strategic fit of potential acquisitions.
- Support in assessing the commercial impact of changes in policies, taxation, and other regulatory factors that may affect M&A structuring.
Transaction Structuring & Negotiation
- Participate in structuring deals, including commercial terms, payment structures, and risk assessments, ensuring optimal transaction structures.
- Assist in drafting and negotiating transaction documents, including term sheets, purchase agreements, and other related legal documentation.
- Provide commercial insights to the negotiation process, ensuring transactions are structured to maximize value for the company.
Commercial Bidding Strategy
- Support the development and execution of commercial bidding strategies for new projects, ensuring alignment with M&A activities and business objectives.
- Analyze and evaluate optimization opportunities, ensuring bids are competitive while achieving financial and strategic goals.
- Evaluate the commercial impact of changes in industry regulations, taxation, and other external factors on bidding strategies.
Post-Transaction Integration
- Support post-transaction integration activities, including aligning business operations, systems, and culture.
- Work with cross-functional teams to ensure seamless transition and realization of synergies from acquisitions or mergers.
- Monitor and report on the performance of acquired businesses to ensure objectives are met.
Strategic Planning & Continuous Evaluation
- Contribute to strategic planning efforts, identifying new business segments and opportunities for growth.
- Continuously evaluate optimization opportunities within the business portfolio to enhance profitability and sustainability.
- Support the preparation of annual budgets, cash flow forecasts, and other financial projections related to transactions.

Qualifications
Educational Qualifications:
Qualified Chartered Accountant or MBA (Finance)
Work Experience
3-7 years of experience in M&A, commercial structuring, and strategic business development, preferably in the renewable energy or infrastructure sector.
Proven experience in due diligence, financial analysis, deal structuring, and negotiation.
Strong understanding of M&A processes, market trends, and regulatory frameworks.
Experience in commercial bidding strategies and financial management is a plus.
