ICCS DigX Ltd is a technology-driven Business Process Outsourcing (BPO) company specialising in collections and digital solutions. We operate at the intersection of traditional FTE-based collections services and next-generation IP-based digital collections products. As we scale our business and expand our client base across sectors including financial services, fintech, and enterprise, we are building a robust internal legal and compliance function to support our growth.

ROLE OVERVIEW

We are looking for a sharp, commercially minded Legal Counsel to join us immediately as our first dedicated in-house legal hire. This is a high-impact Individual Contributor (IC) role — you will be the sole in-house legal resource and the single point of accountability for all legal matters at ICCS DigX Ltd. There is no legal team beneath you; you will own end-to-end legal responsibility for the company, working directly with the CFO, senior leadership, and external counsel where required. The ideal candidate is a self-driven legal professional with 4–5 years of corporate legal experience, capable of independently managing the full spectrum of legal work — from commercial contracts and regulatory compliance to litigation, arbitration, labour matters, and IP — with minimal supervision.

KEY RESPONSIBILITIES

Contract Management

•     Draft, review, and negotiate all commercial contracts including client MSAs, SOWs, NDAs, vendor agreements, and technology licensing agreements

•     Maintain a comprehensive contract repository with key date alerts (renewals, terminations, obligations)

•     Standardise contract templates and build a library of approved clauses for routine transactions

•     Advise business teams on contract risks, obligations, and negotiation strategy

Legal Compliance

•     Ensure company-wide compliance with applicable laws including the Companies Act, IT Act, DPDP Act, RBI guidelines (where relevant to collections), and other sector-specific regulations

•     Monitor regulatory developments and proactively advise leadership on compliance implications

•     Manage corporate governance including board resolutions, statutory filings, and secretarial compliance in coordination with the Company Secretary

•     Develop and maintain internal compliance policies, codes of conduct, and legal SOPs

Recovery, Litigation & Arbitration

•     Manage recovery cases and legal notices for debt collection matters — drafting demand letters, coordinating with recovery teams, and overseeing legal proceedings

•     Independently handle or supervise arbitration proceedings under the Arbitration & Conciliation Act, 1996 — including drafting arbitration clauses, filing statements of claim/defence, and attending hearings

•     Manage domestic arbitrations end-to-end; coordinate with arbitrators, opposing counsel, and senior leadership on strategy and settlements

•     Liaise with and instruct external counsel on litigation and arbitration matters; monitor case progress and control legal costs

•     Handle matters before courts, tribunals, DRTs, and quasi-judicial authorities as required

•     Build and maintain a litigation and arbitration tracker with up-to-date status on all ongoing matters

Labour & Employment Law

•     Advise HR and leadership on employment law matters including hiring, terminations, performance management, and disciplinary proceedings

•     Draft and review employment contracts, offer letters, POSH policies, and employee-facing legal documentation

•     Manage labour cases before labour courts, industrial tribunals, or conciliation officers

•     Ensure compliance with applicable labour statutes including the Industrial Disputes Act, Shops & Establishments Act, PF/ESIC regulations, and Contract Labour Act

IP & Digital Products

•     Provide legal support for the development and commercialisation of ICCS DigX's IP-based digital collections products

•     Advise on IP protection strategy including trademarks, copyrights, and software-related IP

•     Review and negotiate SaaS agreements, technology partnership agreements, and data-sharing arrangements

•     Ensure compliance with data privacy laws including India's Digital Personal Data Protection Act, 2023

General Legal Advisory

•     Act as a trusted advisor to the CFO and senior leadership on all legal and risk matters

•     Manage relationships with external law firms and control external legal expenditure

•     Support fundraising, M&A, and strategic transactions with legal due diligence and documentation as required

QUALIFICATIONS & EXPERIENCE

•     LLB or LLM from a recognised Indian law school; enrolment with the Bar Council of India is mandatory

•     4–5 years of post-qualification experience in corporate legal practice — prior in-house experience as a sole or primary legal counsel is strongly preferred

•     Demonstrable experience in contract drafting and negotiation, corporate compliance, and employment law

•     Hands-on experience in arbitration proceedings — domestic arbitration under the Arbitration & Conciliation Act, 1996 is mandatory; international arbitration exposure is a plus

•     Experience managing debt recovery matters and litigation — including DRT proceedings, summary suits, or recovery via legal notices

•     Prior exposure to collections, BFSI, fintech, or BPO sectors is a strong advantage

•     Working knowledge of data privacy law, IT Act provisions, and digital business regulations

•     Candidates must be based in Noida or Delhi and available to join immediately or within 15 days

KEY SKILLS & ATTRIBUTES

•     Excellent drafting, negotiation, and communication skills in English; Hindi proficiency is an advantage

•     Ability to work independently, manage multiple priorities, and deliver under deadlines

•     Commercial acumen — ability to understand business objectives and provide pragmatic legal advice

•     High integrity, discretion, and sound professional judgment

•     Proficiency in MS Office, contract management tools, and legal research platforms (SCC Online, Manupatra, etc.)

•     Collaborative working style with the ability to engage stakeholders across functions
