We Are Looking For

We are looking for a qualified and proactive Company Secretary to lead corporate governance, regulatory compliance, and secretarial functions. The role will be responsible for ensuring compliance with applicable laws including the Companies Act, 2013 and Foreign Exchange Management Act, 1999, as well as managing debt covenant compliance and implementing a robust compliance management framework across all the PDG entities in India

Key Responsibilities

1. Corporate & Secretarial Compliance

  • Ensure compliance with provisions of the Companies Act, 2013, rules, and secretarial standards
  • Manage board and committee meetings, including agenda, minutes, and resolutions
  • Maintain statutory registers, records, and filings with the Ministry of Corporate Affairs
  • Handle annual filings, event-based filings, and corporate actions

2. FEMA & Regulatory Compliance

  • Ensure compliance with the Foreign Exchange Management Act, 1999 and related regulations
  • Manage filings and reporting with the Reserve Bank of India, including FDI and ECB ODI transactions
  • Liaise with authorized dealers, registrar and transfer agent, depository and regulatory authorities

3. Compliance Management System (CMS) Implementation

  • Design and implement a comprehensive compliance management system
  • Develop compliance calendars, trackers, and dashboards
  • Drive automation and digitalization of compliance processes
  • Ensure periodic compliance reviews and reporting to management

4. Corporate Governance & Advisory

  • Advise the Board and senior management on governance matters and regulatory developments
  • Ensure adherence to best practices in corporate governance
  • Support strategic initiatives including restructuring, fund raising, and corporate actions

5. Debt Compliance & Covenant Monitoring

  • Track and monitor compliance with debt covenants, financing agreements, and lender requirements
  • Maintain compliance trackers for borrowings, including term loans and working capital facilities
  • Coordinate with lenders, legal teams, and finance teams for timely security creation, reporting and certifications

Qualifications & Experience

  • Qualified Company Secretary (Member of Institute of Company Secretaries of India)
  • 5+ years of relevant experience, preferably in infrastructure, data center, telecom, or energy sectors
  • Strong knowledge of corporate laws, FEMA regulations, and debt documentation
  • Experience in implementing compliance systems and governance frameworks

Key Skills & Competencies

  • Strong understanding of regulatory frameworks and compliance requirements
  • Excellent drafting and documentation skills
  • High attention to detail and strong organizational skills
  • Ability to manage multiple stakeholders and deadlines
  • Proactive and solution-oriented approach

Preferred Experience

  • Experience in capital-intensive businesses
  • Exposure to foreign investment structures with multiple project SPVs is preferable
  • Familiarity with compliance tools and automation platforms
