Job Description

Job Title: Company Secretary – Legal & Compliance (Real Estate Sector)

Location: Saket, Delhi

Experience Required: Minimum 5-10 Years

Department: Finance, Legal & Compliance

We are hiring for a seasoned Company Secretary (CS) with deep knowledge of real estate regulatory frameworks, company law, and legal compliances to manage our statutory obligations and provide strategic guidance on all corporate governance matters.

Key Responsibilities:

1. Statutory & Regulatory Compliance

  • Ensure full compliance with the Companies Act, 2013, SEBI regulations, FEMA, RERA, and other relevant laws applicable to real estate and corporate operations.
  • Manage all statutory filings including annual returns, financial statements, and event-based filings with MCA and ROC.
  • Maintain statutory registers, records, and minute books as required under company law.
  • Liaise with external regulators and authorities such as RERA, ROC, Registrar of Companies, RBI, SEBI, and other government departments.

2. Board & Shareholder Governance

  • Organize and conduct Board Meetings, Committee Meetings, and Annual General Meetings (AGM) including drafting of agendas, notices, resolutions, and minutes.
  • Advise the Board and senior management on corporate governance best practices and compliance implications of strategic decisions.
  • Handle shareholder relations, issue of share certificates, and maintenance of share capital records.

3. Legal Advisory & Documentation

  • Draft, review, and vet agreements, MOUs, lease deeds, NDAs, JV agreements, and other commercial contracts related to real estate transactions.
  • Provide legal opinion and support in property due diligence, title verification, and documentation for real estate projects.
  • Coordinate with external legal counsel for litigation, property disputes, and other legal matters.

4. RERA & Real Estate Specific Compliance

  • Ensure compliance with Real Estate (Regulation and Development) Act, 2016 (RERA) across projects and transactions.
  • Manage project registrations, quarterly updates, and communication with the RERA authority.
  • Maintain oversight on builder-buyer agreements, escrow requirements, and real estate project documentation.

5. Strategic & Advisory Role

  • Serve as a trusted advisor to the management on corporate restructuring, mergers, acquisitions, and investment transactions.
  • Support fundraising, due diligence, and investor relations activities from a compliance standpoint.
  • Stay abreast of evolving laws, regulations, and judicial interpretations impacting the real estate and corporate sectors.

6. International Compliance – Sri Lanka Operations

  • Oversee and ensure legal and statutory compliance for the company's operations and business activities in Sri Lanka, in alignment with local laws and corporate regulations.
  • Liaise with legal advisors, regulatory authorities, and consultants in Sri Lanka to ensure timely filings, renewals, and documentation as per applicable laws.
  • Maintain oversight on cross-border transactions, FEMA implications, and foreign investment regulations relevant to Sri Lanka operations.
  • Ensure synchronization between Indian and Sri Lankan corporate governance frameworks, maintaining transparency and compliance consistency across both jurisdictions.

Key Skills & Competencies:

  • Strong knowledge of Company Law, RERA, FEMA, SEBI, and other regulatory frameworks.
  • Excellent drafting, analytical, and communication skills.
  • Ability to independently manage multiple stakeholders, including regulators, auditors, and external legal advisors.
  • Strategic mindset with a deep understanding of business and compliance alignment.
  • High ethical standards, discretion, and integrity.

Qualifications:

  • Member of the Institute of Company Secretaries of India (ICSI) – Mandatory.
  • Bachelor's degree in law (LLB) preferred.
  • Minimum 5-10 years of post-qualification experience, preferably in the real estate, infrastructure, or financial services sector.
