Job Summary
We are seeking a qualified and experienced Company Secretary to oversee corporate governance, statutory compliance, and regulatory affairs of the Company. The role involves providing legal and administrative support to the Board of Directors, ensuring adherence to applicable laws, maintaining statutory records, and managing corporate filings. The ideal candidate will ensure transparency, regulatory compliance, and effective governance practices across all corporate activities.
Roles & Responsibilities (R&R)
- Ensure compliance with corporate governance standards, statutory requirements, and regulatory filings.
- Organize and manage Board Meetings, including preparation of agendas, minutes, and resolutions.
- Maintain and update statutory registers and corporate records as per applicable laws.
- File necessary returns, financial statements, and statutory documents with regulatory authorities within prescribed timelines.
- Provide legal and administrative support to the Board to facilitate effective decision-making.
- Advise the Board on corporate laws, regulatory requirements, and governance best practices.
- Liaise with external legal advisors, auditors, and regulatory authorities.
- Draft, review, and execute legal documents, contracts, and agreements related to corporate operations.
- Manage shareholder relations, including conducting Annual General Meetings (AGMs) and addressing shareholder queries.
- Oversee corporate restructuring, mergers, acquisitions, and other corporate transactions in compliance with legal frameworks.
Mandatory Requirements
- Degree in Law or Company Secretaryship.
- Membership with the Institute of Company Secretaries of India (ICSI).
- Minimum 01 year of relevant experience in corporate governance and compliance.
- Strong knowledge of corporate laws and regulatory frameworks.
- Excellent drafting, communication, and organizational skills.
- High attention to detail and ability to manage confidential information.
