JOB DESCRIPTION FOR THE CS POSITION IN SECRETARIAL DEPARTMENT
Roles & Responsibilities:
- Assist the Company Secretary to manage overall secretarial functions of the Company
- Assist the Company Secretary in handling of all formalities relating to convening of the Board/ Committee/ General meetings
- Coordinate with internal stakeholders and directors for timely completion of tasks related to Board/ Committee/ General meetings
- Preparation of draft agendas and papers for Board/ Committees/ General meetings
- Drafting of minutes of Board/ Committee/ General Meetings
- Drafting of circular resolutions of the Board/ Committee
- Coordinating with directors for annual and other disclosures as required
- Handling of formalities pertaining to appointment/resignation of Directors
- Understanding of provisions of Companies Act & assist in compliance of the same
- Assist in ensuring compliance of the applicable secretarial standards
- Understanding of compliances of laws applicable to Company, co-ordination with other functions to ensure their compliances through compliance software
- Assist in ensuring the compliances related to foreign branch of the Company
- Preparation and filing of ROC forms based on the events and as per periodic compliances
- Preparation of draft Board report & co-ordination with other functions for the inputs
- Preparation and filing of Annual Return/ Annual accounts (XBRL filings)
- Updating of Statutory Registers and records on a continuous basis
- Maintenance of all secretarial documents and records including agenda and minutes
- Handling of Secretarial Audit and support to statutory audit
- Understanding and review of applicable policies as per Companies Act, 2013
- Maintaining confidentiality and handle sensitive information

Qualification:
Qualified Company Secretary (ACS)
