Salary: INR 50 LPA (fixed) + variables

Role Summary:

We are seeking a highly competent Head of Compliance to lead and oversee the entire compliance function. This is a pivotal leadership role, reporting directly to the CEO/Board, responsible for ensuring that our client, an NBFC firm operates in full adherence to all applicable laws and regulations, with a particular focus on the RBI's regulatory framework for NBFCs. The ideal candidate will be a qualified Company Secretary (CS) and LLB with a proven track record in the NBFC sector and, crucially, hands-on experience in handling RBI inspections.

Key Responsibilities:

  • Regulatory Compliance Framework: Lead the end-to-end compliance function, establishing, implementing, and maintaining a robust compliance framework and policies that are in line with RBI Master Directions, KYC/AML guidelines, Fair Practices Code, Digital Lending Guidelines, and all other applicable statutory and regulatory requirements.
  • RBI Inspection Management: Act as the primary point of contact for the Reserve Bank of India during regulatory inspections and audits. Manage the end-to-end inspection process, including preparation, document submission, on-site coordination, and the timely closure of all inspection observations and action points.
  • Regulatory Liaison & Reporting: Serve as the key liaison with regulatory authorities including the RBI, Ministry of Corporate Affairs (MCA), and other statutory bodies. Ensure the timely and accurate preparation and submission of all regulatory returns, data, and disclosures.
  • Policy & Advisory: Draft, review, and update all compliance-related policies and ensure they receive the necessary Board, Audit, and Internal Committee approvals. Provide ongoing compliance advisory to business and support functions on regulatory matters.
  • Monitoring & Reporting: Continuously monitor changes in the regulatory landscape and proactively update internal systems, policies, and controls. Conduct periodic compliance testing and risk assessments, and present comprehensive compliance reports to senior management and the Board.
  • Audit Management: Engage with internal, statutory, and special auditors, effectively resolving all compliance-related queries that arise during audits.
  • Governance & Special Projects: Support the firm on special projects related to regulatory approvals, mergers and acquisitions (M&A), due diligence, governance enhancements, and future listing preparedness.

Qualifications and Experience:

  • Mandatory Qualifications: Qualified Company Secretary (CS) and a Bachelor of Laws (LLB) degree.
  • Experience: 10–15 years of relevant experience in compliance roles, with a significant portion within the NBFC or broader BFSI sector.
  • RBI Inspection Experience: Must have directly handled at least one RBI inspection of an NBFC in a prior role, demonstrating a thorough understanding of the inspection lifecycle and post-inspection remediation process.
  • Technical Knowledge: Deep, hands-on knowledge of the RBI's regulatory framework for NBFCs, including Scale-Based Regulation (SBR), Master Directions, digital lending guidelines, and anti-money laundering (AML) / combating the financing of terrorism (CFT) requirements.
  • Skills: Excellent stakeholder management, communication, and analytical skills. Proven ability to work independently and build a function from the ground up in a dynamic, growth-oriented environment.
