Job Description

PurposeWe are seeking a qualified and experienced Company Secretary to anchor all post-listing corporate governance and compliance requirements. Post-Listing Compliance & Governance

  • Ensure end-to-end compliance with SEBI (LODR), Companies Act, Secretarial Standards, and stock exchange regulations.
  • Oversee preparation and filing of quarterly, half-yearly, and annual reports, disclosures, and returns.
  • Maintain statutory registers, corporate records, and ensure accuracy of disclosures.
  • Implement and monitor insider trading regulations, code of conduct, and disclosure practices.

Board Management & Support

  • Organize Board, Committee, and General Meetings; draft agendas, notices, and minutes.
  • Support Audit, Nomination & Remuneration, CSR, Risk Management, and Stakeholder Relationship Committees as per SEBI/LODR norms.
  • Advise the Board on governance best practices and regulatory changes.

Investor & Shareholder Engagement

  • Partner with Investor Relations to support AGMs, analyst calls, and shareholder communications.
  • Ensure transparent, timely responses to shareholder and exchange queries.
  • Provide secretarial inputs to investor presentations and disclosures.

Corporate Governance & Compliance

  • Liaise with stock exchanges, SEBI, MCA, and other regulators for approvals and clarifications.
  • Support compliance alignment across Rubicon's global subsidiaries and joint ventures (India, Canada, US).
  • Monitor changes in relevant laws, regulations and corporate governance practices, and communicate updates to the board and executive management.
  • Establish and maintain effective corporate governance policies, procedures and internal controls, ensuring adherence throughout the organization.
  • Facilitate the preparation and filing of statutory returns, annual reports, and other regulatory disclosures as required.

Leadership & Process Enablement

  • Act as governance custodian, advising CEO, CFO, and Board on compliance risks.
  • Digitize secretarial compliance tracking and reporting for transparency.
  • Mentor and guide team members within Legal & Compliance.

Qualifications & Pre-Requisites

  • Bachelor's degree in Commerce Law, Business Administration or related field. A postgraduate qualification or membership in a recognized professional body (ICSI) is highly desirable.
  • 1015 years of experience, preferably in a listed entity or handling listed-company compliance.
  • Proven experience as a Company Secretary in a listed company.
  • Strong knowledge of SEBI LODR, Companies Act, FEMA, ICDR, and secretarial standards.
  • Proven experience in post-listing compliance, board governance, and investor communication.
  • Familiarity with Stock exchanges rules, securities laws, and relevant regulations governing IPOs and corporate governance practices.
  • High level of integrity, professionalism and discretion in handling sensitive and confidential information.

Additional Notes

Must be open to travel to Rubicon locations as required.
