Senior Manager, Legal Operations

Location: Pune, Work from Office 5 days a week

Reports To: Chief Operating Officer

Position Summary:

The person will lead SMS-Magic's legal function, ensuring compliance across corporate, commercial, regulatory, and employee matters while providing strategic legal guidance to support the company's growth and risk management. This role will manage day-to-day legal operations, oversee contracts, compliance, internal policies, and act as a key liaison for vendors, customers, and regulatory authorities.

Key Responsibilities:

1. Corporate & Governance:

  • Act as primary legal advisor to the CEO, senior management, and Board on corporate governance, compliance, and risk matters.
  • Lead and manage the POSH (Prevention of Sexual Harassment) Committee, ensuring adherence to legal obligations and company policies.
  • Conduct legal audits of internal processes, policies, and documentation to ensure compliance with applicable laws and regulations.

2. Contract & Vendor Management:

  • Draft, review, and negotiate all vendor contracts, customer agreements, and legal contracts across business operations.
  • Ensure contracts are compliant with company policies and legal standards.
  • Issue legal notices and manage correspondence related to contracts, customer disputes, or vendor issues.
  • Maintain a central repository of contracts and agreements, ensuring proper documentation and approvals.

3. Internal Legal Operations:

  • Draft and review internal agreements, NDAs, employment contracts, and other legal documents.
  • Provide support for employee-related legal cases, including grievances, disciplinary actions, and compliance with labor laws.
  • Draft legal emails and communications as required for internal and external stakeholders.
  • Advise management on risk mitigation strategies and legal implications of business decisions.

  • 4. Compliance & Regulatory:

    • Ensure adherence to data privacy laws (GDPR, CCPA, etc.), messaging regulations, telecom compliance, and other relevant industry regulations.
    • Monitor legal and regulatory developments impacting the business and recommend necessary changes to policies and practices.
    • Address notices and legal cases from customers, vendors, and regulatory authorities efficiently.

    5. Strategic & Advisory Role:

    • Act as a strategic partner to senior management, providing proactive legal guidance in business planning, product launches, and expansion initiatives.
    • Lead cross-functional teams on legal matters, ensuring alignment with company objectives.
    • Build, mentor, and manage the legal team as the company scales globally.

  • Day-to-Day Responsibilities:

    • Reviewing and approving all contracts and legal agreements before execution.
    • Handling legal notices from vendors, customers, or regulatory bodies.
    • Leading POSH committee meetings and investigations.
    • Conducting internal legal audits and compliance checks.
    • Drafting, reviewing, and sending legal communications internally and externally.
    • Advising on employee legal matters, including disputes and disciplinary actions.
    • Managing vendor and customer legal relationships, ensuring compliance with contracts.
    • Keeping management updated on legal risks and mitigation plans.

    Qualifications & Skills:

    • Law degree (LLB) with bar qualification; LLM or equivalent preferred.
    • 10+ years of legal experience, preferably in corporate, commercial, and technology sectors.
    • Experience in SaaS, tech companies, or messaging/telecom industry preferred.
    • Strong knowledge of data privacy, labor laws, corporate law, and contract law.
    • Demonstrated experience in managing POSH compliance, vendor contracts, and internal audits.
    • Excellent negotiation, communication, and stakeholder management skills.
    • Ability to work in a fast-paced, multi-jurisdictional, and dynamic environment.
