Role Overview
This role supports the legal function of a global semiconductor organization, focusing on drafting and negotiating complex commercial agreements across the supply chain from foundry services and IP licensing to customer sales and strategic partnerships. The candidate will also support corporate transactions and partnerships, oversee compliance with export control regimes and manage intellectual property risks across jurisdictions. The role further involves independently providing day-to-day legal advisory support to internal stakeholders on commercial, regulatory, and compliance issues impacting company's operations.
Core Responsibilities
- Contract Drafting & Negotiation
- Leading end-to-end drafting, structuring, review, and negotiation of a wide range of commercial contracts, including - NDAs, MSAs, collaboration agreements, joint venture agreement,, licensing and technology contracts, supply chain contracts (such as contracts with foundry and fabricators), customer contracts, channel partner agreements/ distributor agreements, leave and license agreements, lease deeds, employee contracts and other need based transaction documents
- Ensure alignment with business objectives while minimizing legal exposure
- Provide legal guidance during contract negotiations and escalations
- Support the development and maintenance of contract templates, negotiation playbooks, and legal process workflows and update the contract templates from time to time keeping in view the latest developments in the law and to address the issues being faced from time to time and to mitigate the risks
- Drafting and vetting of notices to be sent to vendors/channel partner/ for any breach of contractual provisions/ enforcing any contractual rights like risk purchase clauses etc drafting and vetting of replies to notices received from the vendors, customers, governmental agencies and effectively handle potential litigation/potential arbitration matters.
- Stakeholder Collaboration
- Partner with internal teams such as Sales, Procurement, Finance, and Operations to structure deals and resolve contractual issues
- Conduct internal training sessions on contract best practices, IP awareness, and compliance protocols etc.
- Provide day-to-day legal advisory support on a broad range of operational, commercial, regulatory, and compliance matters, ensuring timely and practical business solutions
- Develop toolkits, checklists, and guidance notes to strengthen business teams contracting capabilities
- Co-ordinate with External Law Firms and brief the Couse, , where the Company engages Law Firms/ Counsel in critical truncations and/or merger and acquisitions
- Intellectual Property Strategy
- Advise on IP ownership, licensing, and protection for chip designs, firmware, and proprietary manufacturing processes
- Review and structure IP provisions in collaboration and development contracts to ensure alignment with the company's IP strategy
- Coordinate with R&D and external counsel on patent filings and trade secret management
- Export Controls & Trade Compliance
- Ensure compliance with global export control laws (e.g., EAR, ITAR, Wassenaar Arrangement)
- Support the classification of semiconductor products and technologies
- Liaise with internal teams to manage licensing, embargoes, and sanctions risks
- Cross-Border Legal Advisory
- Interpret and apply international legal frameworks (e.g., DTAA, GDPR, local IP laws) across jurisdictions such as US, Japan, India, Germany, and other key markets.
- Support M&A, joint ventures, and strategic alliances with legal due diligence and contract structuring.
- Interact with external law firms where Company engages such Law Firms.
- Governance & Risk Mitigation
- Maintain legal templates and playbooks
- Assist the stakeholders in governance initiatives
- Contract management
- Legal research and Legal Opinion
- Conduct indepth legal research on statutes, regulations, case law and statutory and regulatory developments relevant to the company's operations, products and contracts, including in the areas of contract law, intellectual property, technology and data
- Render Legal opinion after analyzing the contractual provisions, statutory and regulatory provisions and latest case laws and highlight the risks and suggest mitigation measures.
Ideal Profile
- LL.B. or equivalent legal qualification; candidates with LL.M. are encouraged to apply
- 78 years of PQE, preferably with a mix of law firm and in-house experience
- Excellent negotiation, drafting, and stakeholder management skills
- Proven track record of leading complex commercial and technology transactions
- Strong grasp of IP law, export controls, and international contracting
- Ability to manage competing priorities, work independently, and influence decision-making in a fast-paced, global environment
- Experience in semiconductor, electronics, or high-technology sector preferred
The Candidate shall independently handle the matters specified above and also guide and train the sub-ordinates.
