Role Overview:

We are seeking a highly experienced Senior Corporate Counsel to lead corporate, commercial, and compliance matters across the organization. This role requires strategic legal advisory capabilities, strong contract negotiation expertise, and the ability to partner with senior leadership to mitigate legal risks and support business growth.

Key Responsibilities:

Corporate & Commercial Leadership

Lead drafting, review, and negotiation of complex, high-value commercial contracts including MSAs, SLAs, NDAs, licensing, vendor, client, and partnership agreements

Provide strategic legal advice to senior leadership on commercial transactions and business initiatives

Develop and implement contract standards, legal playbooks, and approval frameworks

Compliance & Corporate Governance

Oversee compliance with corporate, commercial, labour, and industry-specific laws

Manage statutory filings, corporate records, and governance documentation

Support Board and senior management on governance matters

Liaise with Company Secretaries, regulators, auditors, and government authorities

Risk Management & Advisory

Identify, assess, and mitigate legal and regulatory risks across business operations

Provide legal opinions on mergers, partnerships, vendor onboarding, and strategic alliances

Support enterprise risk management initiatives

Litigation & Dispute Resolution

Manage litigation, arbitration, and dispute resolution matters through external counsel

Review legal notices, pleadings, and settlement strategies

Monitor case exposure and provide risk assessments to leadership

Employment, Labor & Policy Oversight

Advise HR and leadership on employment laws, POSH compliance, disciplinary actions, and employee relations

Review and approve employment contracts, policies, and internal guidelines

Lead internal investigations and compliance reviews when required

Leadership & Process Improvement

Mentor junior legal team members and oversee legal operations

Drive process improvements, automation, and best practices within the legal function

Conduct legal awareness and compliance training for business teams

Qualifications & Experience:

LL.B. from a recognized university (LL.M. preferred)

10+ years of experience in in-house corporate legal roles or leading law firms

Strong expertise in corporate law, commercial contracts, and regulatory compliance

Proven experience managing senior stakeholders and external counsel

Exposure to global contracts and international business operations is a strong advantage
