Duties And Responsibilities
- Legal Advice & Guidance: Offer expert opinions to management and staff on various legal matters, ensuring informed decision-making.
- Contract Management: Draft, review, negotiate, and revise contracts, agreements, and other legal documents to protect the organization's interests.
- Compliance & Risk Management: Ensure adherence to all relevant laws, regulations, and statutory requirements, identifying and mitigating potential legal risks.
- Litigation & Disputes: Manage legal disputes, coordinate with external counsel, and represent the organization in legal proceedings or court cases.
- Legal Research: Conduct thorough research on new laws, regulations, and legal precedents affecting the organization.
- Policy & Procedure Development: Assist in creating internal policies and procedures to ensure ongoing legal conformity and reduce liability.
- Documentation: Prepare legal opinions, affidavits, and other formal legal communications.
- Stakeholder Liaison: Work with internal departments, external lawyers, government bodies, and represent the organization in committees.
- Facilitator for Board Meetings This role spans
i) before (agenda, notices, prep),
ii) during (minutes, guidance, procedure adherence), and
iii) after (follow-ups, record-keeping) the meeting, bridging communication between directors, and regulators.
Key Activities
- Drafting: Contracts, court filings, internal policies.
- Negotiation: Representing the company in contract discussions and settlements.
- Liaison: Working with external lawyers, regulators, and government bodies.
- Training: Educating staff on legal compliance and best practices.
- IP Protection: Managing trademarks, copyrights, and patents.
- Due Diligence: Assisting in M&A and other strategic transactions.
