The Manager - Company Secretary - will be responsible for managing secretarial operations for VFS Global Group and its international divisions, ensuring statutory compliance, timely regulatory filings, and effective risk management.
Duties & Responsibilities
Job Description
- Oversee matters pertaining to Corporate Laws, including regulatory compliance and maintenance of statutory records.
- Facilitate the preparation and documentation of board meeting materials, preparing executive teams for board actions.
- Ensure compliance with Group Secretarial regulations, including scheduling, process controls, and monitoring of Indian and overseas subsidiaries.
- Coordinate secretarial and related audits.
- Research industry practices to implement best secretarial practices and governance standards.
- Oversee Foreign Exchange Management Act (FEMA) Compliances, including annual return and performance report submissions.
- Conduct Board meetings, interact with Directors, and authenticate the company's Annual Report.
- Ensure adherence to laws and secretarial standards, planning, coordinating, and executing General meetings.
- Assist regional teams on drafting documents relating to Board resolutions, secretarial communication etc.

- Adhere to the organisation's environment, health, and safety policies, objectives, and guidelines.
Anti Bribery Management Systems (ABMS)
- Follow the ABMS roles and responsibilities details as prescribed on the ABMS manual.
- Understanding of ethical standards and the importance of integrity in business practices.

Education
- Company Secretary degree.
Experience
- 4 – 8 years of relevant work experience
