Role Overview

We are hiring a Company Secretary Compliance for Embark. This is a complianceled corporate secretarial role, not a general CS position . The role sits at the intersection of statutory compliance and governanceand requires someone who can independently own compliance responsibilities while actively supporting contract drafting and risk management.

This is a handson role based out of our Bangalore office and requires regular interaction with internal stakeholders, external advisors, and regulators.

Key Responsibilities
Corporate Secretarial & Compliance

Ensure endtoend compliance under the Companies Act, 2013 and applicable rules.

Manage ROC/MCA filings, statutory registers, compliance calendars, and documentation.

Plan and support Board, Committee, AGM and EGM meetings, including notices, agendas, minutes, resolutions, and action tracking.

Support internal, statutory, and secretarial audits and ensure timely closure of observations.

Contracts & Legal Support

Draft, review, negotiate, and manage contracts endtoend, including customer and vendor IT contracts, commercial agreements, NDAs, MSAs, SOWs, and SLAs.

Handle real estaterelated contracts such as lease agreements, amendments, renewals, and related documentation.

Manage contract lifecycle processes, templates, approvals, version control, and renewals (exposure to smart contracts or CLM tools is a plus).

Due Diligence & Risk Management

Conduct legal due diligence for vendors, partners, and transactions.

Identify contractual and compliance risks and recommend mitigation measures.

Provide legal advisory support to business teams on compliance and contractrelated matters.

Stakeholder Management & Legal Writing

Act as a key compliance contact for internal stakeholders and leadership.

Liaise with external legal counsel, auditors, consultants, and regulators as required.

Prepare legal drafts, compliance notes, internal advisories, and research briefs.

Qualifications & Experience

Qualified Company Secretary and active member of ICSI.

57 years of relevant experience in corporate secretarial compliance roles.

Strong handson experience with statutory compliance, board processes, and ROC/MCA filings.

Proven exposure to contract drafting, negotiation, and contract management.

Kannada language proficiency (spoken and written) is mandatory.
