ROLE SUMMARY
We are seeking Legal Professionals at Manager and AVP levels within the Banking/NBFC/Financial Services domain. Candidates will handle legal drafting, vetting, negotiation, and regulatory support across Supply Chain Finance, Co-lending, bilateral lending, and loan/security documentation. Role mapping (Manager/AVP) will depend on relevant PQE.
KEY RESPONSIBILITIES
- Draft, review & vet lending documents including secured/unsecured facility agreements, hypothecation deeds, guarantees, DPNs, NDAs, and ancillary documents.
- Review & negotiate Co‑lending agreements and SLAs, ensuring alignment with RBI guidelines and internal business/credit processes.
- Support Supply Chain Finance documentation including anchor/vendor onboarding documents, PO‑based financing structures, indemnities, and authorisations.
- Review BC (Business Correspondent) & DSA agreements and related onboarding documentation (primarily for senior‑level profiles).
- Examine constitutional documents & corporate authorisations to validate borrowing powers and signatory rights for lending transactions.
- Conduct legal research on RBI Master Directions, NBFC regulations, outsourcing guidelines, lending-related laws, and provide internal advisory notes.
- Coordinate with external counsel for transaction support, regulatory opinions, legal vetting, and any escalations.
- Collaborate with internal teams (business, credit, risk, operations, compliance) to ensure seamless deal execution and timely closure of documentation.
- Ensure proper documentation management, version control, template standardisation, and maintenance of legal trackers/records.
- Identify legal and regulatory risks in lending and partnership arrangements, recommending risk mitigants and ensuring compliance.
QUALIFICATIONS & SKILLS
- LLB/LLM with 4+ years PQE for Manager level; 7+ years PQE for AVP level.
- Mandatory experience in drafting/reviewing loan documentation.
- Strong exposure to Supply Chain Finance and Co-lending structures (mandatory for AVP, preferred for Manager).
- Working knowledge of: Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, Hypothecation principles, IBC, SARFAESI.
- Good understanding of RBI Master Directions for NBFCs, outsourcing guidelines, and co-lending framework.
- Strong drafting, negotiation, research, and analytical abilities.
- Excellent communication and detail orientation with a tech-friendly mindset.
