Job Responsibilities:

As a Manager/Senior Manager Legal & Compliance, you will lead and manage the organization's legal, regulatory, and compliance functions across India and the United States. This role requires strong expertise in corporate governance, contract management, investor relations, and global regulatory compliance.

Key Roles & Responsibilities:

Legal Compliance:

  • Monitor and interpret changes in laws and regulations impacting company operations
  • Provide legal guidance across departments to ensure compliance

Contract Management:

  • Draft, review, and negotiate commercial contracts and agreements.
  • Collaborate with stakeholders to ensure contractual terms align with business objectives
  • Ensure that contractual arrangements comply with legal requirements and internal policies.
  • Familiarity with US Uniform Commercial Code (UCC) regarding the sale of goods and US construction/installation lien laws
  • Manage inter-company agreements.

Risk Assessment:

  • Identify legal and compliance risks
  • Develop and implement mitigation strategies
  • Establish risk management processes

Policy Development:

  • Develop and update company policies aligned with regulatory requirements
  • Conduct employee training on compliance procedures

Regulatory Reporting:

  • Manage regulatory filings and submissions.
  • Liaise with regulatory authorities to address inquiries and inspections

Investor Management:

  • Serve as a key contact for investors, managing relationships and ensuring compliance with investor agreements.
  • Provide timely and accurate reporting to investors.
  • Manage ESOP agreements and recordings using Eqvista or similar platform.
  • Manage 409A valuation compliance.

Compliance Management:

  • Develop, implement, and monitor an effective compliance program to ensure adherence to relevant US and India laws, regulations, and internal policies
  • Regularly assess and update compliance policies and procedures to reflect changes in the regulatory environment
  • Work with 3rd party partners to manage global compliance requirements with understanding implications of country specific requirements
  • Familiarity with company formation and state and local registrations in the US
  • Compliance with data privacy laws (GDPR if EU and CCPA/CPRA if they operate in California) regarding how AI processes client data.

Corporate Governance:

  • Act as the Company Secretary, overseeing corporate governance matters and ensuring compliance with statutory requirements and company articles.
  • Prepare and maintain corporate records, including board meeting minutes and resolutions

Qualifications

  1. LLB (Bachelor of Laws) & Company Secretary (CS) qualification required.
  2. 6 to 10 years of experience in legal and compliance roles.
  3. Proven experience as a Legal and Compliance Manager or in a similar role.
  4. In-depth knowledge of legal and regulatory requirements relevant to the industry.
  5. In-depth knowledge of drafting of various contracts & agreements relevant to the industry.
  6. Strong analytical and problem-solving skills.
  7. Excellent communication and interpersonal
