Role Overview
We are seeking a Legal Associate & Company Secretary to manage and support the company's corporate legal, regulatory, governance, and company secretarial functions.
The role offers an opportunity to work across corporate law, commercial contracts, transaction documentation, regulatory compliance, securities laws, and corporate governance, while supporting the firm's advisory mandates and infrastructure-related projects.
The successful candidate will work closely with senior management, internal teams, external legal counsel, auditors, consultants, clients, and other stakeholders. The individual should demonstrate strong legal and analytical capabilities, excellent drafting skills, attention to detail, and the ability to independently manage multiple assignments in a dynamic professional environment.
Key Responsibilities
1. Legal & Transaction Support
- Draft, review, negotiate, and advise on commercial and corporate agreements, including NDAs, MoUs, term sheets, consultancy agreements, engagement letters, service agreements, and other transaction-related documentation.
- Provide legal support for financial advisory, infrastructure, PPP, investment, and strategic transactions.
- Conduct legal due diligence and assist in identifying, assessing, and mitigating legal and contractual risks.
- Support transaction structuring from a legal and regulatory perspective.
- Review project and transaction documentation and ensure appropriate contractual protections.
- Coordinate with external legal counsel, clients, institutional partners, consultants, and other stakeholders.
- Maintain and periodically update standard legal templates, precedents, contracts, and legal document repositories.
- Monitor relevant changes in corporate, commercial, securities, and regulatory laws and assess their impact on the business.
2. Company Secretarial & Corporate Governance
- Manage day-to-day company secretarial functions and ensure compliance with the Companies Act, 2013 and applicable rules and regulations.
- Prepare agendas, notices, board papers, board resolutions, shareholder resolutions, and minutes of Board and General Meetings.
- Maintain statutory registers, records, registers of members, and other corporate documentation.
- Prepare and undertake annual and event-based filings with the Ministry of Corporate Affairs (MCA).
- Coordinate with auditors, statutory consultants, legal counsel, and other professional advisors on corporate and secretarial matters.
- Support corporate restructuring, changes in shareholding, allotments, transfers, and other corporate actions.
- Advise management on corporate governance requirements and emerging developments in company law.
3. Regulatory & Securities Compliance
- Ensure compliance with applicable requirements under RBI, FEMA, SEBI, and other relevant regulatory frameworks.
- Support matters relating to foreign investments, cross-border transactions, and applicable FEMA requirements.
- Assist with securities law and capital-market-related matters, including listing and disclosure requirements, where applicable.
- Support IPO-related processes and documentation, where relevant to the business.
- Monitor regulatory developments and prepare internal updates or compliance notes for management.
- Coordinate with regulatory authorities and professional advisors, as required.
4. Compliance Management & Risk
- Develop and maintain compliance calendars, trackers, and corporate records.
- Ensure timely completion of statutory, regulatory, and corporate compliance requirements.
- Identify potential legal and compliance risks and escalate material issues to senior management.
- Assist in establishing and maintaining internal governance, compliance, and documentation processes.
- Ensure appropriate confidentiality and secure maintenance of sensitive corporate, legal, and transaction-related information.
Skills & Qualifications
- Mandatory: LLB and qualified Company Secretary (CS).
- Experience: 2–6 years of relevant experience in corporate legal, company secretarial, corporate advisory, merchant banking, investment banking, or financial services environments.
- Strong understanding of the Companies Act, 2013, corporate governance, and statutory compliance.
- Good knowledge of commercial contracts, corporate law, securities regulations, and applicable regulatory frameworks.
- Working knowledge of SEBI, RBI, and FEMA regulations.
- Exposure to IPOs, capital markets, corporate transactions, M&A, fundraising, or financial advisory assignments will be an advantage.
- Experience in legal due diligence and transaction documentation is preferred.
- Strong legal drafting, contract-review, analytical, and research skills.
- Excellent written and verbal communication skills.
- Proficiency in MS Word, Excel, and PowerPoint.
- Strong organisational skills with the ability to manage multiple assignments, deadlines, and stakeholders.
- High degree of integrity, confidentiality, discretion, and professional ethics.
- Ability to work independently while collaborating effectively with senior management and external advisors.
