Company Secretary cum Legal Associate – Leading Consumer Brand – Gurugram

Job Summary: A leading consumer brand in the men's grooming and personal care space is looking to hire a qualified Company Secretary with an LLB and 3-5 years of experience for the role of Company Secretary cum Legal Associate. This role will be responsible for managing corporate secretarial compliances, legal documentation, contracts, regulatory matters, corporate governance, and litigation support while working closely with internal and external stakeholders.

Roles and Responsibilities:

Convening and Conducting the Meetings of the Board & its Committees & General Meetings;
Opinion on various sections of the Companies Act, 2013;
Maintenance of secretarial & legal records, including statutory books & registers electronically and in hard copy;
Drafting and vetting of various agreements and contracts, like shareholding agreements, share purchase agreements, etc.;
Liaisoning with various government authorities like ROC, RBI & Banks;
Involved in the transaction of funding from the parent company and compliance related to the same;
Maintain an online compliance checklist including consumer protection, legal metrology, food safety, labor laws, etc.;
Ensure timely reporting of all statutory compliances to the statutory audit team, internal audit team, and parent;
Develop SOPs and finalization of corporate governance policies such as POSH, Anti-bribery and Anti-corruption Policy, and the Code of Conduct;
Contract Management (including Contract Manufacturing, Courier Service Agreement, Investment Agreement, Lease Deed, and other Marketing Agreements, etc., including but not limited to digitalization of the existing and new contracts);
Drafting and vetting of notices, evidence affidavits, indemnity bonds, etc.;
Registration under Intellectual Property Rights (including Trademark);
Regular compliances under the provisions of the Companies Act, 2013, FEMA & RBI, etc.;
Advise on pre-litigation matters such as risk analysis on litigation; manage litigation matters, including employment disputes, trademark disputes, online direct selling/e-commerce, etc.); conduct risk vs. cost analysis, Co-work with outside counsel and initiate legal proceedings to eliminate the problem.

Desired Candidate Profile:

Qualified Company Secretary and a degree in law (LLB).
Relevant experience in corporate law, compliance, and secretarial functions.
Preferred from D2C industry but not mandatory.

Education: A Qualified Company Secretary (CS) and LLB/Law Degree are mandatory.

Experience: 3–5 years of relevant experience in corporate secretarial, corporate legal, and compliance functions, preferably within D2C / FMCG / Consumer Products.
