About the Role:The Head of Legal & Compliance will be responsible for building, leading, and managing the organization's legal strategy, regulatory compliance framework, and risk management practices. This role will ensure that all business operations, contracts, and policies align with applicable laws and industry standards, particularly in IT training, cloud services, and global partnerships.
Key Responsibilities:
Legal Strategy & Advisory
- Act as the primary legal advisor to leadership on business decisions, contracts, and expansion strategies
- Provide guidance on corporate, commercial, employment, and technology laws
- Support strategic initiatives such as partnerships, global expansion, and new business models
Contract Management
- Draft, review, and negotiate contracts including:
- Client agreements (training, consulting, enterprise deals)
- Vendor and partner agreements
- NDAs, MoUs, and licensing contracts
- Ensure standardization of contract templates and reduce legal risk exposure
Compliance & Governance
- Establish and manage a comprehensive compliance framework
- Ensure adherence to:
- Corporate laws (Companies Act, etc.)
- IT & data protection regulations (including global standards where applicable)
- Labor and employment laws
- Drive internal audits and compliance reviews
- Responsible for locational compliance check at Bangladesh and US Level.
Risk Management
- Identify legal and regulatory risks across business operations
- Develop mitigation strategies and ensure implementation
- Handle dispute resolution, litigation, and legal notices
Policy Development
- Design and implement internal policies:
- Code of conduct
- Data privacy and security
- Anti-bribery and ethics policies
- Conduct awareness sessions for employees and leadership
Stakeholder Management
- Liaise with external legal counsel, regulators, and government bodies
- Collaborate with internal teams: HR, Finance, Sales, and Operations
- Strong expertise in contract law, corporate law, and regulatory compliance
- Knowledge of data protection laws (e.g., GDPR exposure is a plus)
- Excellent negotiation and stakeholder management skills
- Ability to work in a fast-paced, scaling environment
- Strong business acumen with a risk-aware mindset
Requirements (Must-Have):
- LLB / LLM from a recognized institution
- Company Secretary (CS) qualification
- 10+ years of experience in legal and compliance roles
- Experience in IT services, SaaS, EdTech, or training industry is highly preferred
Good to Have (Nice-to-Have):
- Experience working in a high-growth startup or mid-sized tech organization
- Exposure to global clients and cross-border legal frameworks
- Prior experience setting up legal/compliance functions from scratch
- Having some / working experience in Bangladesh / USA, would be an added advantage.
