Job Summary
The Legal & Company Secretary Manager will be responsible for managing corporate secretarial compliance, legal matters, and governance frameworks. This role requires strong expertise in corporate laws, contract management, and regulatory compliance, along with the ability to support business functions on legal matters.
Key Responsibilities:
1. Secretarial & Compliance
• Manage end-to-end corporate secretarial activities including Board Meetings, Committee Meetings, and AGM/EGM.
• Prepare agendas, minutes, resolutions, and maintain statutory registers.
• Ensure timely filing of returns, forms, and other documents with ROC and regulatory authorities.
• Ensure compliance with the Companies Act, 2013 and other applicable laws.
2. Legal & Contract Management
• Draft, review, and negotiate contracts, including vendor agreements, NDAs, and commercial agreements.
• Provide legal advisory support to internal stakeholders across functions.
• Handle legal notices, disputes, and coordinate with external legal counsel.
3. Corporate Governance
• Ensure adherence to corporate governance standards and best practices.
• Advise senior management on legal and regulatory risks.
• Develop and implement internal policies and compliance frameworks.
4. Regulatory & Risk Management
• Monitor changes in laws and regulations and assess their impact on the business.
• Ensure compliance with applicable laws such as the Companies Act, FEMA, labour laws, etc.
• Support internal and external audits related to compliance.
5. Stakeholder Management
• Liaise with Board members, auditors, regulators, and external consultants.
• Work closely with internal teams such as Finance, HR, and Operations.
