Job Description

  • IPO Activities:-Preparation and Planning: Assist in the preparation of the company for the IPO process, including due diligence and compliance checks.
  • Coordinate with investment bankers, auditors, and legal advisor to ensure all IPO requirements are met.
  • Documentation: Oversee the drafting and filing of the prospectus and other necessary documents with regulatory authorities. Ensure all disclosures and financial statements are accurate and comply with regulatory standards.
  • Legal Advisory:
  • Provide legal advice on corporate, commercial, and regulatory matters.
  • Draft, review, and negotiate contracts, agreements, and other legal documents.
  • Manage litigation and liaise with external legal counsel.
  • Regulatory Compliance:
  • Ensure compliance with the Companies Act and other relevant legislation.
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • File necessary documents with regulatory authorities.
  • Corporate Governance:
  • Ensure compliance with corporate laws, regulations, and guidelines.
  • Advise the board of directors on governance best practices.
  • Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
  • Stakeholder Communication
  • Act as a point of contact for shareholders and ensure effective communication.
  • Handle shareholder queries and manage investor relations.
  • Investor Relations:
  • Develop and implement an investor relations strategy to communicate effectively with potential investors.
  • Organize roadshows, presentations, and meetings with potential investors and analysts.
  • Post-IPO Compliance:
  • Ensure ongoing compliance with listing requirements and continuous disclosure obligations.
  • Manage shareholder communications and maintain investor relations post-IPO.

The Successful Applicant

A successful Lead Legal and CS should have:

  • A recognised degree in Law (LLB) and membership in the Institute of Company Secretaries of India (ICSI).
  • Ensuring the company complies with statutory and regulatory requirements, providing legal advice, managing corporate governance, and overseeing activities related to an Initial Public Offering (IPO).
