Contract management: negotiate, draft and conclude all types of International / Domestic commercial contracts (relating to suppliers, vendors, distributors, service providers third parties, Information technology); SPAs, SHAs; promotional materials; leasing of properties, stores, warehouses, due diligence and agreements; supply chain contracts; joint product development; franchise agreements, software licensing, purchase, consultancy, co-lending, all kinds of corporate commercial transactions, etc.
Marketing / Brands: IPR/Advertisement, marketing campaigns, brand and celebrity endorsements, product placements, IPR protection and enforcement, ASCI and consumer complaints, technology license, trademark license, corporate name license agreements. Protecting the company's intellectual property rights through patents, trademarks, copyrights, and trade secrets. This includes managing IP portfolios, licensing agreements, and enforcement actions.
Corporate advisory: corporate financing, documentation of Loyalty programs/Schemes, drafting of various kinds of policies such as code of Conduct, sanctions, anti-Bribery anti-Corruption, IPR Policy, Insider Trading, Data Privacy. Expertise in corporate laws, regulatory or sectoral laws and compliances.
Compliance & Risk Management: Ensure the organization complies with all the applicable relevant laws and regulations. This may involve overseeing compliance programs, conducting audits, and providing guidance to various departments.
Employment related matters: employment contracts, renewal of consultancy agreements, vendor empanelment etc.
Mergers and Acquisitions (M&A): Review of potential strategic acquisitions, due diligence, Providing legal guidance and due diligence support, negotiating transaction documents (SPA, SSA, Binding Term Sheets), structuring options for transactions, joint ventures. Drafting transaction documentation, negotiations and managing end to end of a transaction.
Educational Qualification: LL.B. from reputable institute
PQE Experience: 12-14 yrs PQE, candidates from law firms only
Language skills:Excellent English writing, articulation and presentation skills
