Role Summary
We are seeking a seasoned, strategic, and highly ethical Independent Director to join our Board of Directors. As HVR Solar undergoes rapid expansion in its manufacturing and EPC operations, the Independent Director will play a pivotal role in strengthening corporate governance, providing objective strategic oversight, and safeguarding the interests of all stakeholders. The ideal candidate brings robust experience in corporate leadership, risk management, and the renewable energy/manufacturing sector.
Key Responsibilities
Strategic Oversight & Growth
- Provide objective, independent evaluation of the company's strategic plans, including the scaling of the 1.2GW Sonipat production facility and domestic/international market expansion.
- Advise the executive leadership team (including the MD and Executive Directors) on technology investments, sustainable growth strategies, and capital allocation.
- Monitor company performance against agreed-upon executive goals and industry benchmarks.
Corporate Governance & Compliance
- Ensure the highest standards of corporate governance, ethical business practices, and transparency across all operations.
- Ensure strict compliance with the Companies Act, 2013, and other applicable regulatory and environmental frameworks.
- Actively participate in and potentially chair key board committees (such as Audit, Nomination & Remuneration, or CSR Committees).
Risk Management & Financial Audit
- Evaluate the integrity of the company's financial reporting and ensure that robust internal controls and risk management systems are in place.
- Identify potential macroeconomic, regulatory, or operational risks within the solar and manufacturing sectors and guide mitigation strategies.
- Oversee HVR Solar's transition toward carbon neutrality and ensure compliance with ESG (Environmental, Social, and Governance) targets.
Stakeholder Protection
- Safeguard the interests of all stakeholders, particularly minority shareholders, ensuring equitable treatment.
- Mediate and resolve any potential conflicts of interest between management and stakeholders.
Qualifications & Requirements
Statutory & Eligibility Criteria
- Must meet all criteria for independence as defined under Section 149(6) of the Companies Act, 2013.
- Must hold a valid Director Identification Number (DIN).
- Registration with the Independent Director's Databank maintained by the Indian Institute of Corporate Affairs (IICA) is highly preferred.
- Must not have any material pecuniary relationship with HVR Solar Pvt Ltd, its promoters, or its directors during the current or preceding two financial years.
Professional Experience
- Minimum of 15 years of senior leadership experience (C-level or Board equivalent) in corporate environments.
- Prior experience serving on the Board of Directors for mid-to-large-scale manufacturing, energy, infrastructure, or technology companies.
- Strong financial acumen with the ability to interpret complex financial statements, audits, and corporate budgets.
- Deep understanding of the renewable energy sector, government PLI schemes, and global solar supply chains is a significant advantage.

Term, Remuneration, and Time Commitment
- Term: Initial term of up to 5 consecutive years, subject to shareholder approval, with the possibility of reappointment.
- Remuneration: Compensation will include sitting fees for attending Board and Committee meetings, along with reimbursement for all travel and out-of-pocket expenses incurred in the fulfillment of board duties, in accordance with the Companies Act, 2013.
- Time Commitment: Expectation to attend quarterly Board meetings (in New Delhi or virtually), Annual General Meetings, and relevant Committee meetings, alongside necessary preparation time.
