Role Overview
The In-House Legal Counsel will be responsible for providing end-to-end legal advisory support
to the organization, ensuring legal risk mitigation, contract governance, regulatory compliance,
and strategic legal guidance across business operations, investments, and corporate matters.
Key Responsibilities
Legal Advisory & Risk Management
- Act as the primary legal advisor to management on corporate, commercial, and regulatory matters.
- Identify, assess, and mitigate legal risks across business operations and investments.
- Interpret laws, regulations, and contractual obligations impacting the company.
Contracts & Documentation
- Draft, review, negotiate, and finalize contracts including investor agreements, shareholder agreements, NDAs, MOUs, service agreements, vendor contracts, and commercial arrangements.
- Ensure contracts align with business objectives while safeguarding the company's legal interests.
- Maintain contract governance, templates, and legal documentation repositories.
Corporate, Investment & Startup Legal Matters
- Provide legal support for investments, fundraising, share transfers, acquisitions, and strategic transactions.
- Advise on corporate structuring, governance, and shareholder matters.
- Support startup-related legal requirements, including DPIIT-related advisory where applicable.
Compliance Oversight & Coordination
- Oversee statutory and regulatory compliance in coordination with the Company Secretary (CS) and compliance team.
- Provide legal oversight for MCA, FEMA, and other applicable regulatory compliances.
- Support statutory audits, regulatory inspections, and legal due diligence.
Litigation & External Counsel Management
- Manage and coordinate with external legal counsels, law firms, and advisors.
- Oversee litigation matters, notices, claims, and legal proceedings.
- Review pleadings, responses, and legal strategies proposed by external counsels.
Policy & Governance Frameworks
- Draft, review, and update internal policies, SOPs, and governance frameworks.
- Ensure internal processes align with applicable laws and best legal practices.
Stakeholder & Cross-Functional Support
- Work closely with leadership, finance, compliance, HR, and operations teams on legal matters.
- Provide practical, business-oriented legal guidance to internal stakeholders.
Qualifications & Experience
- Bachelor's or Master's degree in Law (LLB / LLM).
- 510 years of relevant experience as an in-house counsel or with a law firm handling corporate/commercial matters.
- Strong knowledge of corporate laws, contracts, investments, FEMA, and regulatory frameworks.
- Experience in startup, venture capital, private equity, or corporate advisory environments preferred.
