Role Overview
The Company Secretary will be responsible for statutory, regulatory, and corporate governance compliance of the company and its group entities, while advising the Board and supporting corporate actions, contracts and related compliances.
Key Responsibilities:
- Handling all secretarial and statutory compliances of High Debt Listed Companies, Listed Companies, Limited Companies, LLPs, and Firms.
- Managing BSE-related compliances, including quarterly, half-yearly, and annual compliances under SEBI (LODR) Regulations.
- End-to-end management of listed debenture issuances through private placement, including structuring and restructuring of debenture terms, private equity engagements, and investor roadshows.
- Coordinating and ensuring compliance with Debenture Trustees and Credit Rating Agencies.
- Managing promoter-level and subsidiary-level compliances in connection with Initial Public Offerings (IPO), across pre- and post-listing stages.
- Drafting and vetting of agreements, including leave and license agreements, and preparation of official correspondence with various government authorities.
- Managing comprehensive regulatory compliances for large-scale manufacturing operations.
- Handling registration of properties and related documentation and filings.
- Responsible for overseeing compliance and governance across multiple international subsidiaries.
Requirements:
- Qualified Company Secretary (ICSI Member) with legal background
- 510 years experience, preferably in engineering / EPC / manufacturing/ Renewable energy
- Strong knowledge of corporate laws and governance
- Excellent drafting, coordination, and stakeholder management skills
