Develop and implement the organization's legal strategy in alignment with business objectives.
Act as the principal legal advisor to the Board, senior management, and business heads.
Evaluate legal risks in business decisions, expansions, M&A, joint ventures, and new initiatives.
Draft, review, negotiate, and finalize commercial contracts including:
Vendor and supplier agreements
Customer and distribution contracts
Service agreements and SLAs
NDAs, MOUs, and licensing agreements
Ensure contracts are legally sound, commercially viable, and risk-mitigated.
Establish contract templates and approval frameworks.
Oversee and manage all litigation, arbitration, and dispute resolution matters.
Coordinate with external counsels and law firms.
Develop litigation strategies and monitor case progress, costs, and outcomes.
Aim to minimize legal exposure and resolve disputes efficiently.
Ensure compliance with all applicable laws and regulations (Companies Act, labor laws, contract law, data protection, sector-specific regulations, etc.).
Oversee statutory filings, corporate governance practices, and Board processes.
Monitor regulatory changes and assess impact on the organization.
Implement compliance policies, SOPs, and internal controls.
Identify, assess, and mitigate legal and compliance risks.
Support enterprise risk management initiatives from a legal perspective.
Advise on risk allocation, indemnities, and insurance coverage.
Lead legal due diligence for mergers, acquisitions, investments, and divestments.
Structure transactions and coordinate with internal teams and external advisors.
Draft and negotiate transaction documents.
Build, lead, and mentor the internal legal team.
Manage external legal counsels effectively.
Collaborate closely with finance, HR, procurement, compliance, and business teams.
Draft and implement legal policies, codes of conduct, and ethics frameworks.
Support internal investigations and disciplinary actions when required.
Promote a culture of compliance and ethical decision-making.
Qualifications
LL.B (Mandatory); LL.M preferred.
Enrolled with a State Bar Council.
1218+ years of post-qualification legal experience.
Prior experience as Head Legal / Senior Legal Counsel / General Counsel preferred.
Strong exposure to corporate commercial law, contracts, and litigation management.
Industry experience (manufacturing, IT, infrastructure, BFSI, pharma, etc.) is an added advantage.
