. Lead end-to-end legal management of M&A transactions including acquisitions, mergers, demergers, divestitures, and business transfers across sectors.
. Structure and negotiate transaction documents including term sheets, share purchase agreements (SPA), business transfer agreements (BTA), share subscription agreements (SSA), shareholders agreements, and ancillary transaction documents.
. Conduct and legal due diligence coordinate with external counsel, review findings, assess risk, and advise senior management on deal structuring options.
Litigation & Dispute Resolution (Transaction Related)
. Manage disputes arising from M&A transactions, including breach of warranty claims, indemnity disputes, and arbitration proceedings.
