Hiring: Corporate Legal Counsel (Immediate Joiner)

Reporting To: Senior Corporate Legal Counsel
We are looking for an experienced Corporate Legal Counsel to join our Legal team in Chennai. This role is ideal for a proactive legal professional with strong expertise in corporate law, commercial contracts, compliance, and stakeholder advisory, who can operate confidently in a fast-paced IT services environment.
Key Responsibilities:
Corporate Governance & Compliance
- Advise senior management and leadership on corporate governance and regulatory compliance.
- Draft, review, and maintain corporate governance documents, policies, resolutions, and statutory records.
- Ensure compliance with applicable corporate laws and regulatory requirements.
- Track legal and regulatory updates and recommend actions to mitigate impact.
Commercial & Contract Management
- Draft, review, negotiate, and finalize commercial contracts including:
- Client and vendor agreements
- Service, licensing, and NDA agreements
- Strategic partnerships and joint ventures
- Provide legal guidance on contract interpretation, risk exposure, and enforcement.
Risk Management & Legal Advisory
- Identify and mitigate legal and contractual risks across business operations.
- Provide timely legal advice on business initiatives, investments, and operational decisions.
- Support internal teams on legal implications and best practices.
Litigation & Dispute Handling
- Manage legal disputes, claims, notices, and litigation matters.
- Coordinate with external counsels and ensure cost-effective legal representation.
- Review regulatory notices and recommend appropriate legal responses.
Cross-Functional Collaboration
- Work closely with Compliance, Finance, HR, Sales, and Operations teams.
- Act as a trusted legal advisor to internal stakeholders.
Qualifications & Experience
- Bachelor's Degree in Law (LLB); LLM is an advantage.
- Enrolled with the Bar Council / eligible to practice law.
- 812 years of post-qualification experience in corporate legal roles.
- Prior experience in IT services, corporate organizations, MNCs, or reputed law firms preferred.
- Strong exposure to corporate law, contracts, compliance, and dispute management.
