Kshetry & Co Legal Advisors is a full-service law firm engaged in litigation, corporate advisory, contract drafting, and dispute resolution. The firm advises clients on corporate structuring, regulatory compliance, commercial transactions, and business operations.

To strengthen its corporate practice, the firm seeks a skilled Corporate Lawyer capable of handling end-to-end corporate legal matters, advisory, and documentation.

Role Description

This is a full-time, on-site role for a Corporate Lawyer based in Kolkata. The selected candidate will be responsible for drafting, reviewing, and negotiating contractual agreements; providing legal advisory services for corporate and commercial law matters; and managing cross-border transactions and regulatory issues. Day-to-day tasks also include offering strategic legal guidance to clients, handling compliance requirements, preparing legal documents, and representing clients in high-stakes proceedings.

             

Required Skills and Qualifications

LL.B. degree from a recognised institution (LL.M./CS preferred).

2–5 years of experience in corporate law and advisory.

Strong drafting and contract negotiation skills.

Sound knowledge of Companies Act, contract law, and commercial regulations.

Experience in due diligence and corporate transactions preferred.

Excellent communication and client-handling abilities.

High attention to detail and risk assessment capability.

Key Responsibilities

  •        Corporate Advisory & Legal Compliance (Core Function)

Advise clients on corporate laws, business structuring, and regulatory compliance.

Handle matters relating to company law, commercial transactions, and corporate governance.

Ensure compliance with applicable laws, regulations, and statutory requirements.

·        Contract Drafting & Commercial Documentation

Draft, review, and negotiate commercial agreements including:

Service Agreements

Shareholder Agreements

Partnership Agreements

NDAs, MOUs, and Vendor Contracts

Ensure all contracts are legally sound, risk-mitigated, and aligned with client interests.

·        Corporate Transactions & Due Diligence

Assist in mergers, acquisitions, joint ventures, and investment transactions.

Conduct legal due diligence and prepare due diligence reports.

Identify legal risks and provide mitigation strategies.

·        Regulatory Filings & Compliance Management

Handle filings and compliance under Companies Act and other applicable laws.

Coordinate with regulatory authorities and consultants when required.

Maintain statutory registers and corporate records.

·        Client Advisory & Coordination

Interact with clients to understand business requirements and provide legal solutions.

Provide ongoing legal support to corporate clients.

Maintain professional client relationships and timely communication.

·        Legal Research & Opinion Writing

Conduct research on corporate and commercial laws.

Prepare legal opinions, advisory notes, and compliance reports.

·        Mandatory Reporting & Work Discipline

Submit daily work reports to management including:

Contracts drafted/reviewed

Advisory provided

Compliance work completed

Pending assignments and deadlines

Ensure timely delivery of all assignments without follow-ups.

Any delay, error, or non-compliance shall be treated as professional negligence.
