Cyient Semiconductors is seeking an experienced and commercially astute Corporate Counsel to join the General Corporate & Compliance function supporting the EMEA, APAC, and North America (NAM) regions. This role is based in our Madhapur, Hyderabad office.
The ideal candidate will be a pragmatic, business-oriented legal professional who thrives in a fast-paced, global environment. The role requires close collaboration with cross-functional stakeholders across jurisdictions, ensuring robust legal support while driving regulatory and contractual compliance.
Experience Required
- 3-6 years post-qualification experience in general corporate law
- In-house experience preferred (not mandatory)
- Strong exposure to cross-border commercial transactions
Key Responsibilities
1. Commercial Contracts & Cross-Border Transactions
- Drafting, reviewing, and negotiating commercial agreements including:
Outsourced services agreements
Vendor agreements
Partnership agreements
Reseller agreements
- Managing both buy-side and sell-side contracting
- Advising on cross-border transactions across EMEA, APAC & NAM
- Keeping abreast of international contracting trends
2. Corporate & Regulatory Compliance
- Managing regulatory and contractual compliance requirements (including Export Control compliance)
- Supporting compliance enforcement across assigned territories
- Developing policies, procedures, and compliance guidelines
- Assisting the global compliance team in territorial oversight
3. Dispute & Litigation Management
- Managing disputes and litigation matters in coordination with external counsel
- Supporting the Global Legal Head's office on contentious matters
4. Employment & M&A Advisory
- Advising on HR/employment-related legal matters
- Supporting M&A transactions and related due diligence
5. Risk Management & Stakeholder Engagement
- Identifying legal and commercial risks and providing pragmatic solutions
- Delivering clear, actionable legal recommendations to business leaders
- Collaborating closely with Operations, HR, Finance, Risk, and IT Security
6. Leadership & Global Collaboration
- Mentoring and supervising junior counsels
- Supporting proposal drafting and RFP responses
- Operating effectively in a highly matrixed, global organization
- Engaging regularly with stakeholders across multiple jurisdictions
