Location / Travel - Base location at Chennai.
Regulator travel to Hyderabad (being the Registered Office and few team members operate from there)
Travel for meetings with RTA at Hyderabad on regular basis and to other locations of the company as per business needs of CIL and its subsidiaries.
Role Scope in General
The DGM - Secretarial is a senior managerial role responsible for overseeing all secretarial, corporate governance, and regulatory compliance activities across the organization.
The role involves providing regular regulatory updates, ensuring end- to-end compliance, identifying regulatory risks, proposing mitigation strategies, and supporting the Company Secretary (CS) in implementing governance frameworks, establishing processes, and monitoring and reporting compliance matters.
Requires deep expertise in corporate laws and the regulatory environment, strong leadership skills, and the ability to collaborate effectively with senior management to align compliance initiatives with broader business objectives.
The incumbent will also be designated as the Company Secretary for CIL's Group Holding and subsidiary companies, including both the subsidiary and its holding entity.

Audit / Auditors
- Build and maintain strong professional relationships with secretarial auditors, statutory auditors, and key internal and external stakeholders to ensure smooth coordination and effective audit outcomes.
Learning & Development (L&D)
- Maintain prompt and continuous self- updating on regulatory developments relevant to the secretarial and compliance function, including guidance notes issued by ICSI and other professional bodies.
- Prepare and provide regulatory update notes and impact- assessment briefs to the Company Secretary & Compliance Officer on a regular basis.
- Facilitate knowledge enhancement within the team by organizing and conducting Learning & Development sessions, workshops, and other capability- building initiatives.
Risk Management
- Identify potential compliance risks and formulate effective mitigation strategies to safeguard the organization.
- Handle secretarial- related litigation and legal disputes in coordination with the Registrar & Transfer Agent (RTA) and external legal counsel, as required.
- Implement robust risk management practices to minimize compliance risks across the organization.
- Oversee the implementation of Standard Operating Procedures (SOPs) and develop new SOPs to strengthen compliance processes and enhance governance standards.

- Manage, monitor, and promptly resolve all investor grievances, including those related to IEPF compliances, and handle online investor complaints received through SEBI SCORES, SMART ODR, and the grievance redressal systems of BSE and NSE.
Responsible for Data / MIS Reports
- Ensure the availability, accuracy, and completeness of data for all activities undertaken within the secretarial and compliance function.
- Prepare Management Information System (MIS) reports related to statutory, regulatory, and governance compliance activities.
- Prepare MIS dashboards and reports for monitoring adherence to Standard Operating Procedures (SOPs).
- Develop and maintain additional reports necessary for tracking and monitoring statutory and regulatory compliance requirements.
- Prepare comprehensive compliance reports and MIS for Indian subsidiaries.
- Prepare compliance reports and MIS for foreign subsidiaries, ensuring timely and accurate regulatory monitoring.
- Support periodic compliance reviews by providing required data, reports, and analytical insights.
- Prepare monthly reports for functional updates to the Leadership Team, including performance reporting under the Balanced Scorecard (BSC) framework.
Custodian of documents
- Act as the custodian for all secretarial documents of CIL and its group companies, ensuring proper maintenance, accessibility, and governance.
- Ensure systematic docketing, indexing, and safekeeping of all statutory records and related documents in compliance with regulatory requirements.
- Maintain all signed documents in secure and orderly formats to ensure readiness for statutory audits, regulatory inspections, and internal reviews.
- Ensure appropriate documentation for all activities relevant to the secretarial and compliance function, maintaining a comprehensive and updated document repository.
- Oversee the availability, tracking, and timely renewal of all vendor agreements, ensuring proper documentation and monitoring mechanisms are in place.
Compliance of Foreign subsidiaries / group companies
- Engage proactively with foreign consultants to oversee and monitor the compliance requirements of foreign subsidiaries and group companies.
- Maintain regular liaison and communication with these consultants to ensure timely updates, adherence to regulatory obligations, and resolution of compliance matters.
- Prepare and submit periodic MIS reports and compliance updates to the Company Secretary of CIL, ensuring transparency and effective oversight of all foreign entity- related compliance activities.
Meetings - Board / Committees / Trusts
- Support the end- to-end preparation for Board and Committee meetings of CIL, including drafting agenda notes, coordinating pre- meeting activities, overseeing post- meeting compliances, and managing regulatory filings and stock- exchange submissions.
- Assist in preparing agenda notes, managing pre- and post- meeting processes, and handling regulatory filings for group companies where the incumbent may serve as the Company Secretary. Ensure full discharge of statutory responsibilities of a Company Secretary as prescribed under the Companies Act.
- Ensure, and provide necessary guidance to team members, that all compliance requirements related to Board/Committee matters for assigned subsidiaries are effectively met.
- Manage ESOP administration, Trust meeting coordination, and related MIS reporting.
Regulatory Compliance
- Oversee the design, implementation, and continuous strengthening of the organization's regulatory compliance frameworks relating to Corporate Laws, ensuring full adherence to applicable legislations, secretarial standards, and governance requirements.
- Ensure timely and accurate completion of all compliance reporting requirements within the organization's compliance tool.
- Track and analyse changes in relevant laws and regulations; update the Company Secretary within forty- eight hours and ensure appropriate evaluation of the implications to maintain ongoing compliance.
- Lead compliance reviews and assessments, identify gaps, and establish robust processes and systems to ensure sustained compliance across the organization.
- Proactively recommend measures to mitigate compliance risks and enhance governance practices.
- Continuously monitor compliance status through the compliance tool to enable accurate and transparent reporting to senior leadership and perform reviewer/performer roles as assigned.
- Oversee dividend distribution processes and ensure full compliance with statutory requirements associated with dividend payments.
- Monitor and ensure adherence to statutory policies and related compliance frameworks.
- Manage Insider Trading compliances, including maintenance of SDD, MIS reporting, and timely execution of all prescribed obligations.
- Ensure timely updating and maintenance of statutory registers for CIL and all group companies.
Corporate Governance
- Provide strong and dependable support to the Company Secretary to ensure that the organization's governance framework remains fully aligned with all applicable regulatory and compliance requirements across CIL and its subsidiaries.
- Support the Company Secretary in safeguarding the Board of Directors and Key Managerial Personnel (KMPs) from regulatory or governance- related risks, enabling them to effectively discharge their governance duties and responsibilities.
