Hiring for a Leading Auto Parts Manufacturing MNC Vadodara

Position: Company Secretary (CS) Listed Entity

Employment Type: Full-time

Location: Vadodara, Gujarat

Department: Secretarial Compliance / Legal

Reporting To: Executive Director / President (KMP) (Through Chairperson/Audit Committee, as applicable)

Role Summary

The Company Secretary will manage end-to-end secretarial functions, corporate governance, and regulatory compliance for a listed company in India. The role requires strong expertise in the Companies Act, 2013, SEBI regulations (including SEBI (LODR) Regulations, 2015), allied corporate laws, and FEMA-related compliance.

The incumbent will also oversee organization-wide legal matters by coordinating with internal stakeholders and external counsel. Exposure to finance, accounting, and capital market compliance will be an added advantage.

Key Responsibilities

Board, Committee Shareholder Governance

Plan and manage Board, Committee, and General Meetings

Prepare agenda notes and supporting documents

Draft and finalize minutes and resolutions

Track action items and ensure timely closure

Maintain statutory registers and corporate records

Listed Company Compliance (SEBI Stock Exchanges)

Ensure compliance with SEBI (LODR) Regulations, 2015

Manage stock exchange filings, disclosures, and intimations

Oversee corporate governance requirements

Support related party transaction compliance

Monitor insider trading controls and disclosures

Companies Act Secretarial Standards

Ensure compliance with Companies Act, 2013

Implement Secretarial Standards (SS-1 SS-2)

Manage MCA filings (annual event-based)

Coordinate secretarial and regulatory audits

Investor Services Shareholding Matters

Liaise with RTA, depositories, and stock exchanges

Manage corporate actions (dividend, bonus, split, rights, etc.)

Handle investor grievances and IEPF compliance

Compliance Management System

Maintain compliance calendar and dashboards

Develop SOPs and internal controls

Conduct periodic compliance reviews

FEMA Cross-border Compliance

Oversee FDI/ODI and foreign remittance compliances

Coordinate RBI reporting through AD banks

Maintain cross-border documentation

Legal Matters (Organization-wide)

Draft/review agreements and contracts

Coordinate litigation and regulatory matters

Liaise with external legal counsel

Corporate Governance Policy Frameworks

Develop and update governance policies

Ensure compliance with insider trading norms

Maintain whistleblower and related party frameworks

Regulatory Stakeholder Interface

Interface with MCA, SEBI, ROC, Stock Exchanges, RBI

Coordinate with auditors, bankers, and investors

Transactional Strategic Support

Support fund raising, MA, restructuring

Handle ESOP-related compliances

Qualifications

Qualified Company Secretary (ICSI Member)

LLB / LLM preferred

MBA (Finance) / CA Inter (added advantage)

Experience

5+ years of relevant experience

Listed Company Exposure Preferred

Hands-on SEBI (LODR) compliance experience

Exposure to FEMA compliance

Experience in legal documentation and litigation coordination

Key Skills

Strong knowledge of corporate laws SEBI regulations

FEMA compliance understanding

Excellent drafting and documentation skills

Strong stakeholder management
