Role Overview
We are looking for a qualified and experienced Company Secretary to manage corporate secretarial functions and ensure compliance with applicable laws and regulations. The role involves close interaction with senior management, auditors, regulators, and external advisors to support effective corporate governance. Exp working on complete IPO process is mandatory
Key Responsibilities
Handle compliance under the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable corporate laws.
Plan, coordinate, and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of agendas, notices, minutes, and follow-ups.
Advise the Board and senior management on corporate governance practices, statutory requirements, and legal compliance.
Liaise and coordinate with auditors, RTA, stock exchanges, regulatory authorities, legal advisors, and consultants.
Draft, review, and maintain policies, agreements, resolutions, and other corporate documents.
Monitor changes in corporate laws and regulations and ensure timely implementation within the organization.
Maintain statutory registers, records, and ensure accurate and timely filings with ROC, MCA, SEBI, and Stock Exchanges.
Ensure timely and accurate statutory filings with MCA, SEBI, Stock Exchanges, and other regulatory authorities.
Support listing-related activities and ongoing listed company compliance.
Eligibility Criteria
Qualified Company Secretary and ICSI Member.
7+ years of post-qualification experience, preferably in a listed company.
Hands-on experience with listing process and listed company compliance (preferred).
Strong working knowledge of Companies Act, SEBI Regulations, and Corporate Laws.
Excellent communication, documentation, and coordination skills.
Ability to work independently and handle multiple stakeholders effectively.
