Role Overview
We are seeking a qualified Company Secretary (ICSI Member) with relevant experience to manage and strengthen the corporate secretarial and compliance framework of the India entity. The role will have direct exposure to capital investments, regulatory compliance, and governance processes.
Key Responsibilities
- Ensure compliance with provisions of the Companies Act, 2013 and other applicable regulations
- Independently manage:
- Board Meetings
- Committee Meetings
- Annual General Meetings (AGMs)
- Draft and finalize:
- Notices, agendas, minutes, and resolutions
- Filing of statutory forms and returns with Registrar of Companies (ROC)
- Maintain statutory registers and corporate records
- Drive and monitor the compliance calendar with ownership
- Support and manage secretarial audits, due diligence, and regulatory reporting
- Liaise with auditors, legal advisors, and regulatory authorities
- Handle compliance related to:
- Capital infusion / investments / funding transactions
- Corporate restructuring and expansion projects
- Coordinate with Finance and leadership on governance matters
Eligibility Criteria (Mandatory)
- Qualified Company Secretary (Member of the Institute of Company Secretaries of India - ICSI)
- Minimum 5 years of post-qualification experience in corporate secretarial/compliance role
Required Skills
- Strong working knowledge of Companies Act, 2013 and secretarial practices
- Hands-on experience with MCA/ROC filings and board processes
- Exposure to capital transactions / investments / compliance frameworks
- Strong drafting, documentation, and analytical skills
- Ability to work independently and manage multiple stakeholders
Preferred (Good to Have)
- Exposure to:
- FEMA / RBI compliance
- Multinational company environment
- Infrastructure / logistics / asset-heavy sectors
