We are looking for a seasoned Company Secretary with 810 years of experience to independently manage all secretarial and compliance responsibilities. This is a hands-on individual contributor role suited for someone who can operate with minimal supervision and take full ownership of governance, regulatory, and board-related activities. Prior experience in the financial services

sector is strongly preferred.

Key Responsibilities:

  • Ensure full compliance with the Companies Act, SEBI, RBI, and other statutory and regulatory frameworks.
  • Independently manage Board and Committee meetings, including scheduling, drafting agendas, preparing minutes, and tracking action items.
  • Maintain statutory registers, record, and ensure timely filings with regulatory bodies.
  • Act as a point of contact with regulators, auditors, legal advisors, and other external stakeholders.
  • Provide guidance to leadership on corporate governance best practices and policy updates.
  • Support corporate actions such as share allotments, ESOP implementation, and restructuring, ensuring legal compliance.
  • Review legal and commercial agreements from a compliance and governance perspective.

Qualifications & Requirements:

  • Qualified Company Secretary (CS); legal or finance qualifications will be an advantage.
  • 810 years of relevant experience, ideally in the financial services sector.
  • Proven track record of working independently in a fast-paced and regulated environment.
  • In-depth knowledge of corporate laws, compliance regulations, and board governance.
  • Excellent drafting, communication, and stakeholder management skills.
  • High level of ownership, discretion, and integrity.
