Ducon Infratechnologies Limited is a publicly listed EPC company based in Maharashtra, specializing in advanced environmental control and infrastructure solutions. The company delivers end-to-end expertise in:
- Air Pollution Control: Wet scrubbers, bag filters, cyclones, and FGD systems (limestone, seawater, and dry sorbent injection technologies) for coal, HFO, and pet coke-based power boilers.
- Material Handling Systems: Belt conveyors, pipe conveyors, pneumatic conveying systems, air slides, and silo systems for industries such as alumina, fly ash, and bulk material handling.
- Infrastructure Projects: Rural electrification, industrial environmental control, and large-scale material handling projects.
Role Overview:-
We are looking for a qualified Company Secretary to manage the company's statutory compliance and corporate governance functions for a listed entity. The role involves close coordination with regulatory bodies, auditors, legal teams, and internal stakeholders in a fast-paced EPC project environment.
Key Responsibilities:
A. Statuary & Regulatory Compliance
- Ensure compliance with Companies Act, 2013, SEBI regulations, LODR requirements, and other statutory laws applicable to listed companies.
- Prepare and file statutory forms, returns, and disclosures with MCA/ROC, SEBI, and stock exchanges.
- Maintain statutory registers, records, and minutes in line with Secretarial Standards.
B. Board, Committee & Shareholders Meetings
- Schedule, organize, and conduct Board Meetings, Committee Meetings, and Annual General Meetings.
- Draft and circulate notices, agendas, resolutions, minutes, and supporting documents.
- Provide governance updates and regulatory insights to the Board.
C. Corporate Governance & Compliance Framework
- Develop and implement internal compliance systems and governance processes.
- Advise management on risk mitigation, regulatory obligations, and best governance practices.
D. Liaison & Coordination
- Act as the primary point of contact with MCA, ROC, SEBI, stock exchanges, and other authorities.
- Coordinate with auditors, legal advisors, consultants, and internal teams on compliance and audit matters.
E. Corporate Law & Legal Support
- Review contracts, agreements, and EPC-related legal documents.
- Support secretarial audit, compliance audits, and due diligence exercises.
F. Corporate Actions & Shareholder Matters
- Handle share capital changes, ESOP-related filings, and investor compliance activities.
- Manage quarterly filings, disclosures, and corporate announcements to stock exchanges.
Skills & Qualifications:
- Qualified Company Secretary (Member of ICSI).
- Experience in listed-company compliance preferred.
- Strong knowledge of corporate laws, SEBI/LODR regulations, and governance practices.
- Excellent drafting, communication, and stakeholder coordination skills.
- Ability to work independently and deliver in a dynamic EPC project environment.
