Job Description

We are looking to hire a qualified and detail-oriented Company Secretary to ensure the company's compliance with statutory and regulatory requirements while supporting the board of directors and senior management on corporate governance matters.

Key Responsibilities:

  • Ensure compliance with the Companies Act, FEMA regulations, SEBI regulations, and other applicable laws and statutory requirements.
  • Handle FEMA-related compliances, filings, reporting, and coordination with regulatory authorities and authorized dealers.
  • Organize and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of agendas, notices, minutes, and resolutions.
  • Maintain statutory registers, records, and filings with regulatory authorities.
  • Handle ROC filings, annual returns, disclosures, and other secretarial compliances within prescribed timelines.
  • Advise management and the Board on corporate governance practices and legal obligations.
  • Coordinate with auditors, regulators, legal counsels, and external stakeholders.
  • Support in drafting and reviewing policies, agreements, and corporate documentation.
  • Ensure compliance with corporate governance standards and internal policies.
  • Assist in due diligence, restructuring, mergers, acquisitions, foreign investments, and other strategic initiatives, if required.
