The Company Secretary is a crucial conduit between the organization and its owners, board of directors, regulatory agencies, and other interested parties.
Primary responsibilities include but are not limited to:
• Responsible for all secretarial compliances for listed and unlisted companies;
• Hands-on-knowledge of Companies Act, SEBI Listing Regulations, SEBI Insider Trading Regulations, Takeover Code, etc.;
• Ensuring Corporate Governance;
• Drafting and vetting of Policies, SOPs and governance documents;
• Preparation of Annual Reports for listed and unlisted entities;
• Independently organizing and managing Board, committee and shareholders meetings for listed and unlisted entities;
• Liaison with auditors, RTA, regulatory bodies, etc.;
• Maintenance of statutory records and registers;
• Resolving the grievances of shareholders and investors;
• ESOP management;
• Acting as the bridge between Board Members and Management;
• Well-equipped with MCA, SEBI and stock exchange website;
• Updated with latest circulars and notifications issues by statutory bodies w.r.t. secretarial laws;
• Drafting skills;
• Strengths to include Planning and time management
Core requirements:
•4-8 years of demonstrated experience with deep exposure to listed company compliances.
• Excellent communication and inter personal skills as the incumbent will present to or interact with board members & senior executives.
• Self-motivated individual with an eye-for-detail.
• Excellent task management skills – should be able to perform and deliver on deadlines.
Location: ITC Green Centre, Sector 32, Gurugram, Haryana
Work from Office with 1st & 3rd Saturday working.
