Job Description: Company Secretary (CS)

About The Role
We are seeking a qualified and detail oriented Company Secretary cum MIS Analyst to manage statutory, regulatory, and corporate governance requirements of the company. The role involves close coordination with the Board of Directors, senior management, and regulatory authorities to ensure full compliance with applicable laws.
To prepare MIS to manage, analyze, and report operational and project data. The role will support management and development teams by providing accurate, timely MIS reports, dashboards, and data insights to aid decision making.
Key Responsibilities
Statutory Regulatory Compliance
Ensure compliance with the Companies Act, 2013, MCA rules, and other applicable laws
File statutory forms and returns with ROC/MCA (AOC 4, MGT 7/7A, DIR 3 KYC, PAS 3, SH 7, etc.)
Maintain statutory registers, records, and documents
Track legal and regulatory updates and advise management accordingly
Board, Committee General Meetings
Prepare notices, agendas, explanatory statements, and minutes
Organize and attend Board Meetings, AGM, and EGM
Ensure meetings comply with Secretarial Standards (SS 1 SS 2)
Provide secretarial and governance support to the Board
Corporate Governance Advisory
Advise the Board and management on corporate governance best practices
Assist directors in fulfilling their statutory duties
Ensure adherence to internal policies and governance frameworks
Share Capital Secretarial Work
Handle share related matters including issue, allotment, transfer, transmission, split, and consolidation
Maintain Register of Members, Directors, and KMP
Issue and manage share certificates and shareholding records
Regulatory Professional Coordination
Liaise with ROC, MCA, auditors, practicing company secretaries, and legal advisors
Handle regulatory notices, inspections, and correspondence
Documentation Corporate Actions
Draft and vet Board resolutions, agreements, and corporate documents
Support Corporate Actions Such As

- Appointment/resignation of directors

- Increase in authorized share capital

- Borrowings and creation/modification of charges

- Related party transactions
MIS Reporting
Prepare and maintain daily, weekly, and monthly MIS reports
Generate Reports Related To

Consolidate data from multiple sources (Excel, internal tools, ERP, project management systems)
Data Management Analysis
Collect, validate, and analyze data to ensure accuracy and consistency
Identify gaps, delays, and deviations and highlight them to management
Dashboard Automation
Design and maintain dashboards using MS Excel (advanced formulas, Pivot Tables, etc.,)
Automate recurring reports to improve efficiency
Maintain historical data and version control of reports
Coordination Support
Coordinate with developers, project managers, and team leads to gather inputs
Provide MIS support for internal reviews, audits, and management meetings
Assist HR, Finance, and Operations teams with data--related requirements
Documentation Compliance Support
Maintain process documentation and SOPs related to MIS
Ensure data confidentiality and adherence to internal policies
Technical Skills
Strong proficiency in MS Excel (VLOOKUP/XLOOKUP, IF, Pivot Tables, charts)
Good knowledge of MS Office (Word, PowerPoint)
Soft Skills
Strong analytical and problem--solving skills
High attention to detail
Good communication and coordination abilities
Ability to work under deadlines
Qualifications , Experience Requirements
Member of Institute of Company Secretaries of India (ICSI)
Proven experience as a Company Secretary in a Private Limited Company
Strong knowledge of Indian corporate and commercial laws
Excellent drafting, communication, and organizational skills
High attention to detail and ability to meet compliance deadlines
Experience 3+yrs
