Job Title: Company Secretary – IPO & Listing Compliance

Location: Mumbai (On-Site)

Experience Required: 0-5 Years (IPO / Capital Markets Focus)

Qualification: Qualified Company Secretary (ICSI Member)

Employment Type: Full-Time

About the Role

We are looking for an experienced and driven Company Secretary with deep expertise in IPO structuring, DRHP drafting, listing compliances, and capital market transactions. The ideal candidate will have hands-on experience managing end-to-end IPO processes (SME and/or Mainboard) and possess a strong understanding of SEBI, ROC, and stock exchange regulations.

This role requires the ability to independently manage listing mandates while effectively coordinating with merchant bankers, legal advisors, registrars, and regulatory authorities.

Key Responsibilities

IPO & Listing Management (Primary Focus)

  • Lead and manage the end-to-end IPO process (SME/Mainboard), from structuring to listing
  • Draft and review DRHP, RHP, Prospectus, and other offer documents
  • Coordinate with SEBI, stock exchanges (BSE/NSE), ROC, merchant bankers, legal counsel, and other intermediaries
  • Manage in-principle approvals, regulatory observations, and clarifications
  • Ensure compliance with SEBI (ICDR) Regulations, LODR Regulations, and the Companies Act, 2013
  • Oversee successful listing and post-listing compliance requirements
  • Support SME-to-Mainboard migration processes

Capital & Corporate Structuring

  • Manage private placements, preferential allotments, bonus issues, and rights issues
  • Handle share capital restructuring and ESOP documentation
  • Oversee compliance for private-to-public company conversion
  • Coordinate ISIN activation with depositories (NSDL/CDSL)

Secretarial & Regulatory Compliance

  • Manage Board and Committee meetings end-to-end
  • Draft agendas, minutes, resolutions, and related documentation
  • Handle annual filings (AOC-4, MGT-7, MGT-8) and MCA e-forms
  • Maintain statutory registers and secretarial records
  • Ensure compliance for director and auditor appointments/resignations

Candidate Profile

  • Strong working knowledge of SEBI regulations, the Companies Act, and listing frameworks
  • Proven experience in independently managing IPO mandates
  • Excellent drafting skills, particularly for offer documents and regulatory responses
  • Strong stakeholder management and coordination abilities
  • High attention to detail with a compliance-driven mindset
  • Ability to perform in a fast-paced, deadline-oriented environment

Preferred Experience

  • Experience with SME IPO listings
  • Exposure to merchant banking or investment banking environments
  • Hands-on coordination with BSE/NSE officials
  • Direct experience in DRHP drafting and SEBI query handling
