company secretary (CS) intern assists with legal and administrative tasks to ensure corporate governance and compliance. Key responsibilities include maintaining statutory books, preparing for and documenting board and general meetings (agendas, minutes, resolutions), and assisting with regulatory filings and shareholder communications. The role involves gaining practical experience in corporate law, record-keeping, and ensuring adherence to company laws and regulations.
Key responsibilities
Meeting support: Prepare and distribute meeting notices, agendas, and supporting documents; assist in drafting minutes and resolutions for board, committee, and shareholder meetings.
Record-keeping: Maintain and update statutory registers, corporate records, and other legal documents.
Compliance and filings: Assist with filing various forms and documents with company registries (like the Registrar of Companies/ROC) and other regulatory bodies.
Legal and regulatory assistance: Help research changes in relevant laws and regulations; provide support in ensuring the company's compliance with corporate laws and good governance practices.
Documentation: Assist in drafting agreements and other legal documents.
Shareholder and stakeholder communication: Help manage communication with shareholders and other external stakeholders, such as auditors.
Ad hoc tasks: Support the company secretarial team with other administrative and project-based tasks as needed.
Qualifications
Basic knowledge of the Companies Act and relevant corporate laws and regulations is often required.
Strong attention to detail and organizational skills are essential.
Good communication and interpersonal skills are necessary.
Familiarity with corporate governance principles is a plus.
