Job Title: Company Secretary (With Employee & Admin Responsibilities)
Overview:
We are seeking a dedicated and experienced Legal & Compliance Manager and qualified Company Secretary to manage the company's
-Legal,
-Compliance,
-Governance requirements and oversee employee-related and administrative activities.
The ideal candidate will have expertise in corporate governance, compliance, and a strong understanding of HR processes, employee administration, and day-to-day office management. This role is key in ensuring legal compliance, efficient administration, and the smooth functioning of the organisation.
Key Responsibilities:
Corporate Governance & Compliance:
- Ensure that the company complies with all legal, regulatory, and governance requirements under all applicable Indian laws.
- A capable negotiator with knowledge of commercial contracts (especially in the IT industry, is preferred but shall not be considered as drawback for the right candidate)
- Responsible for maintaining the CLM as per company standards.
- Ensure compliance with and File necessary documents with concerned regulatory authorities.
Employee & Administrative Responsibilities:
With a legal and compliance objective,
- oversee and manage employee-related contracts and activities including recruitment, onboarding, contracts, performance reviews, and compliance with Indian labor laws.
- Ensure smooth administration of HR policies and programs, and related documentation in line with Indian labor laws.
- Coordinate employee training and development programs to align with organizational goals and compliance requirements.
- Manage day-to-day office administration, ensuring a productive and compliant work environment, including managing office supplies, vendor contracts, and facilities management.
- Assist and advice on employee benefits administration in compliance with company policies and statutory requirements (e.g., Provident Fund (PF), Employee State Insurance (ESI), Gratuity, etc.).
Employee Relations:
- Act as a point of contact for employee queries related to policies, procedures, and other policies.
- Support in resolving employee grievances and act as a mediator where necessary to maintain harmonious employee relations.
- Ensure adherence to HR compliance standards such as statutory returns, employee welfare, labor law compliance, and other regulations under Indian labor laws.
Legal & Risk Management:
- Ensure the company's adherence to relevant labor laws and employee welfare regulations, including compliance with the Shops & Establishments Act, Payment of Gratuity Act, Employees Provident Fund & Miscellaneous Provisions Act, and other applicable Indian labor laws.
- Manage the drafting, review, and execution of contracts related to employees, vendors, and other third parties in addition to commercial contracts where required.
- Assist with legal documentation and contracts related to mergers, acquisitions, and other corporate transactions.
- Implement systems for risk management related to employee relations, office management, and corporate governance.
- Ensure legal compliance in commercial contracts
- Draft commercial contracts
Board & Shareholder :
- Do all acts necessary qua Board & Shareholder requirements .
- Prepare and maintain statutory books, records, and documents, including minutes of meetings of the Board, Committees, and Shareholders.
- Ensure compliance with and File necessary documents with concerned regulatory authorities.
- Advise on corporate governance best practices and the legal implications of proposed actions.
- Facilitate the scheduling and preparation of materials for Board meetings, including agendas, resolutions, and reports.
- Maintain statutory registers and ensure timely compliance with the filing of necessary returns and documents with regulatory bodies.
- Provide support for shareholder-related matters, including annual general meetings (AGMs), extraordinary general meetings (EGMs), and dividend declarations.
Qualifications:
- Company Secretary (CS) qualification from the Institute of Company Secretaries of India (ICSI) and membership in good standing.
- Bachelor's degree in Law (LLB) or Business Administration from a recognized university in India.
- Master's degree in Law (LLM) or certifications in Corporate Law, Intellectual Property, Compliance, or Data Privacy is preferred.
- In-depth knowledge of the Companies Act, 2013, SEBI regulations, Indian labor laws, Shops & Establishments Act, Provident Fund Act, ESI Act, Gratuity Act, and other relevant regulations.
- Strong expertise in employee relations, HR administration, office management and commercial contracts in the Indian context.
- Excellent communication and interpersonal skills, with the ability to interact effectively with the Board, employees, and regulatory authorities.
- Proven ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
Desirable Skills:
- Experience working with employee benefits administration, payroll systems, and employee compliance regulations in India.
- Familiarity with ISO and other international compliance standards is a plus.
- Knowledge of contract law and experience in drafting and reviewing employment or non employment related contracts.
- Familiarity with HRMS (Human Resource Management Systems) and other employee management tools.
