Job Title: Company Secretary
Experience: 4-5 years in corporate secretarial roles, preferably in technology, BFSI, or regulated entities.
Location: Bangalore
About the Role:
TheCompany Secretarywill lead the secretarial, governance, and regulatory compliance framework, as well as its subsidiaries. This role is critical in strengthening Board governance, ensuring SEBI and corporate law compliance, and supportingpre- and post-IPO readiness. The position works closely with founders, senior leadership, investors, regulators, and external advisors.
Key Responsibilities:
1. Corporate Governance & Secretarial Compliance
- Ensure end-to-end compliance with theCompanies Act, 2013, MCA filings, and Secretarial Standards
- ManageBoard, Committee, and Shareholder meetings, including agendas, notices, minutes, resolutions, and action tracking
- Maintain statutory registers, member records, share certificates, and digital secretarial documentation
- Handleannual, event-based, XBRL, and group-entity filings
- Advise management on corporate law matters,ESOPs, shareholder actions, and corporate restructuring
2. SEBI, Listing & Pre-IPO Support
- Lead compliance withSEBI regulations(ICDR, LODR, PIT, etc.) in preparation for listing
- Coordinate withmerchant bankers, legal counsel, auditors, and consultants for DRHP drafting, due diligence, and governance checks
- Ensure adherence to SEBI governance norms, including:
- Board and Committee structures
- Policies, disclosures, and insider trading framework
- Managecap table, ESOP pool, vesting records, and compliance with SEBI ESOP regulations
- Support regulatory submissions and respond to investor and regulator queries
3. Transactions, Structuring & Legal Coordination
- Support and manage corporate actions such as:
- Mergers, amalgamations, business transfers
- Capital restructuring
- Rights issues, private placements, preferential allotments
- Ensure timely approvals fromMCA, ROC, SEBI, RBI, and other regulators (as applicable)
- Review transaction documents with external counsel and track compliance timelines
4. Shareholder & Investor Support
- Coordinate withRegistrar & Transfer Agent (RTA)for shareholder records and issue resolution
- Manage investor communications related to disclosures, share transfers, and documentation
- Support due diligence processes for fundraising, strategic transactions, and IPO
5. Internal Controls & Governance Framework
- Develop and maintain governance policies, including:
- Code of Conduct
- Insider Trading SOP
- Board and Committee Charters
- D&O compliance
- Ensure governance readiness forinternal audits, statutory audits, and risk control reviews
