Company Secretary (Assignment Basis)

Engagement Type: Assignment Basis

Mode of Work: Flexible / Remote

Minimum Engagement: Approx. 5 hours per day

Estabizz Fintech Private Limited is looking to engage a qualified Company Secretary (CS) on an assignment basis to support corporate compliance and regulatory filing assignments.

This opportunity is suitable for professionals who are currently employed or practicing and would like to handle additional professional assignments alongside their existing engagement, with complete flexibility in working hours.

The professional will be expected to independently manage ROC filings, LLP compliance, and regulatory registrations for various client assignments.

Key Responsibilities

The company secretary will be responsible for handling documentation, preparation, filing, and follow-up for statutory forms and regulatory applications.

ROC & MCA Filings

The professional should be experienced in handling filings under the Companies Act, 2013, including but not limited to:

  • SPICE+ Incorporation filings
  • Form INC-22
  • Form INC-20A (Commencement of Business)
  • PAS-3 (Return of Allotment)
  • MGT-14
  • SH-7
  • DIR-12
  • CHG-1 / CHG-4
  • ADT-1
  • INC-22 (Registered Office Change)
  • INC-28
  • GNL-1 / GNL-2
  • DIR-3 KYC
  • BEN-2

Annual ROC Compliance

The professional should be able to manage annual compliance filings, including

  • MGT-7 / MGT-7A
  • AOC-4 / AOC-4A
  • ADT-1 and ADT-3
  • DPT-3
  • MSME-I
  • XBRL generation and filing
  • Preparation of documents for annual filing

LLP Filings

Experience in handling filings under the LLP Act, 2008, including:

  • FiLLiP (LLP Incorporation)
  • LLP Form-3 (LLP Agreement)
  • Form-11 (Annual Return)
  • Form-8 (Statement of Accounts)
  • LLP partner changes
  • LLP change in capital contribution
  • LLP charge creation
  • LLP change in registered office

Strike-Off Assignments

The professional should be able to handle:

  • Company Strike-Off (STK-2)
  • STK-2 documentation preparation
  • ROC query resolution
  • LLP Strike-Off (Form-26)

Regulatory Registrations

Exposure to handling documentation and filings for:

  • Trademark Registration
  • Startup India Registration (DPIIT)
  • GST Registration
  • MSME Registration
  • FIU-IND Registration and modification
  • CKYC Registration

Candidate Profile

The ideal candidate should:

  • Be a qualified company secretary.
  • Have practical experience in ROC and LLP filings
  • Be comfortable handling assignments independently
  • Have working knowledge of MCA portal filings and compliance procedures

Engagement Structure

  • Assignment-based engagement
  • Professionals can continue their existing employment or practice
  • Flexible working hours
  • Minimum engagement of approximately 5 hours per day
  • Monthly billing structure based on assignments handled
