About the Position
We are seeking a motivated Company Secretary (ICSI qualified) to join our fast-paced and growing team in the energy storage sector. Based in Bangalore, this role is a key part of Fluence's corporate governance and compliance function and serves as a backbone for the company's operations across the Asia-Pacific region.
The position focuses on company secretarial, governance, and statutory compliance responsibilities for unlisted entities across multiple jurisdictions, including India and other APAC markets. The role involves managing board and shareholder processes, maintaining corporate records, supporting entity lifecycle matters, and coordinating closely with external advisors to ensure timely and accurate compliance with local regulatory requirements.
This is an individual contributor role, ideal for a hands-on Company Secretary who is comfortable operating in a global environment, can manage multiple entities in parallel, and values precision, ownership, and accountability.
Key Responsibilities
- Corporate Governance & Secretarial Compliance
- Serve as the governance lead for all APAC subsidiariesensuring timely filings, maintenance of registers, and consistency of documentation across jurisdictions.
- Manage board and shareholder meetings, preparation of minutes, resolutions, statutory registers, and annual filings.
- Coordinate statutory audits, filings, and director appointments.
- Support board structuring, power of attorney management, and delegation of authority frameworks.
- Manage and oversee licensing, corporate approvals, and statutory registrations across relevant jurisdictions.
- Regional Entity Management
- Manage corporate records and governance calendar for six APAC entities, in coordination with external consultants and internal stakeholders.
- Manage intercompany documentation, including share issuances, capital infusions, and intercompany loans.
- Implement and maintain a centralized entity and compliance management/tracking system to ensure accurate and timely tracking of corporate documents and regulatory filings.
- Ensure alignment with HQ governance policies, including subsidiary control, approvals, and internal audits.
- Stakeholder Management
- Work closely with the Senior Legal Counsel, General Counsel (APAC), Finance, and Tax teams to implement governance and compliance controls.
- Liaise with external company secretarial consultants, legal counsel, auditors, and regulatory bodies across jurisdictions.
- Act as a trusted advisor to business and functional leaders, balancing commercial needs with compliance imperatives.
About You
- Qualifications: Qualified Company Secretary and a member of the ICSI; an LL.B qualification is an added advantage.
- Experience: Minimum of 3-5 years of experience, ideally within a multinational corporation.
- Expertise: Demonstrated experience managing corporate governance matters and a strong understanding of cross-border entity management.
- Soft Skills: Excellent communication and stakeholder-management skills; highly organized with exceptional attention to detail.

- Location: Based in Bangalore (available for the office at least 4 days a week) and open to occasional travel.
